3. Lorry Parking Space shall not be used or suffered to be used for any purpose other than the purpose of parking lorries

and in particular, shall not be used for the storage, display or exhibition of motor vehicles or sale or otherwise. 除作停泊貨車之用途外,貨車車位不得用作或致使用作任何其他用途,當中特別禁止用作存放、展示或展覽

汽車以供買賣或作其他用途。

4. Motorcycle Parking Spaces shall not be used or suffered to be used for any purpose other than the purpose of parking motorcycles. 除作停泊電單車之用途外,電單車車位不得用作或致使用作任何其他用途。

5. No owner shall make any structural or other alterations to any part of the building which may damage or interfere with the use and enjoyment of any other part thereof. 業主不得在大廈任何部份作任何結構性或其他改動,以損害或影響使用及享受該部份的任何其他部份。

6. No owner shall do or permit or suffer to be done any act or thing in contravention of the terms and conditions of the Government Grant and the Special Waiver Letter or whereby any insurance on the building or any part thereof may become void or voidable or whereby the premium for any such insurance may be increased. 業主不得作出或允許或致使他人作出任何違反政府批地契約條款和條件及特權豁免書的行為或行動,或引致

7. No owner shall use or permit or suffer his unit to be used for any illegal or immoral purpose. 業主不得使用或允許或致使他人使用其單位作任何非法或不道德用途。

8. No owner shall use or permit or suffer his unit to be used except in accordance with the Government Grant, the Special Waiver Letter, the Deed of Mutual Covenant and all applicable building and other regulations and all Government permits, consents and requirements applicable thereto. 除作根據政府批地契約、特權豁免書、大廈公契及所有適用於建築或其他規例及所有政府的准許、同意及當

9. No owner or occupier shall use or permit to be used any part of the unit for the purposes of a funeral parlour, coffin shop or Buddhist hall for the performance of the ceremony known as “Ta Chai” or for any similar ceremony or for any noisy or offensive trade or business. 業主或其佔用人不得使用或允許他人使用其單位或其任何部份作殯儀館、棺材舖或用作進行打齋儀式的佛堂

10. No owner or occupier shall use or permit to be used any part or parts of the unit for any of the following purposes :- 業主或其佔用人不得使用或允許他人使用其單位或其任何部份作任何以下的用途:

(a) operation of temples (whether in the form of Taoist, Buddhist or another religious monasteries or otherwise); 營運廟宇(不論作道教、佛教或其他宗教的寺院或其他形式);

(b) private or public columbarium niches and/or facilities for placing or storing bone ashes of the dead (whether human or animal ashes or otherwise as a showroom, sales office or a demonstration or exhibition place of such columbarium niches or facilities (irrespective of whether actual ashes are being placed or stored therein); 私人或公共骨灰龕位及/或擺放或存放遺體骨灰的設施(不論人類骨灰或動物骨灰或作有關骨灰龕位或

Supplemental Information of the Property 補充物業資料

1. Waiver 豁免書

By a Special Waiver Letter in respect of Sha Tin Town Lot No.420 (“the Lot”) dated 10th December 2012 and registered in the Land Registry by Memorial No.13010403010048 (which provisions are varied or modified by a Relaxation Letter dated 21st June 2016 and registered in the Land Registry by Memorial No.16072701150283) (collectively “Special Waiver Letter”), a temporary waiver of the restrictions contained in Special Conditions Nos.(6), (8), (20) and (21) of the Government Grant of the Lot has been granted so as to permit the use of the Lot for any one or more of the Permitted Purposes during the Waiver Period (“Waiver”). 根據於 2012 年 12 月 10 日發出有關沙田市地段 420 號(「該地段」)的特權豁免書並在

土地註冊處註冊為註冊摘要 13010403010048 號 (相關條款經一封日期為 2016 年 6 月

21 日並在土地註冊處註冊為註冊摘要 16072701150283 號的放寬文書所變更或修改) (統稱「特權豁免書」),獲暫時豁免政府批地契約特別批地條件第(6), (8), (20) 及(21)條的

限制,於「豁免期」內容許使用「該地段」作任何一個或多個「准許用途」(「豁免」)。

“Permitted Purposes” means (i) Office; (ii) Shop and Services; and (iii) Eating Place. 「准許用途」指(i)寫字樓;(ii)商店及服務;及(iii)飲食地方。

“Waiver Period” means the term of the Waiver commencing from the date of the Special Waiver Letter and expiring (i) upon the demolition of the building comprising, inter alia, the office development and the car park erected on the Lot in accordance with the approved building plans known as “Metropole Square (新都廣場)” (“the Building”) (which shall include any alterations resulting from the building works required or permitted under Condition No.(3) of the Special Waiver Letter); (ii) on the 30th day of June 2047; or (iii) upon the early termination of the Government Grant before the expiry of its term whether in accordance with the Government Grant or otherwise, whichever shall be the earlier. 「豁免期」指「豁免」的期間,由特權豁免書日期開始直至(i)拆卸大廈,包括(其中包

括)根據核准建築圖則建於「該地段」而名為「Metropole Square (新都廣場)」的寫字樓

項目及停車場(「該大廈」)(當中包括「特權豁免書」第(3)號條件要求或准許的建築工程

所導致的任何改動);(ii)2047 年 6 月 30 日;或(iii)於政府批地契約的年期完結前提前終

止,不論是否根據批地契約或其他原因,以較早者為準。

2. Owner to obtain all necessary approvals and permits 業主負責取得所有必要的准許及

許可證

In accordance with Clause 9 of the Special Waiver Letter, each owner shall obtain all necessary licences, permits, permissions and approvals required from the Government for the use of his

respective unit or units or part of the Building for the Permitted Purposes and shall maintain the same in force and in all respects comply with the terms and conditions thereof; 根據「特權豁免書」第(9)條,每名業主須從政府取得所有必要的執照、許可證、許可

及准許以使用其個別一個或多個單位或大廈部份作「准許用途」,及須維持有效及全面

遵從當中的條款及條件;

3. Consent to disposal and Undertaking from the Assignee to comply with the Waiver 轉售同意書及「受讓方」遵守「豁免」的承諾書

It is stipulated in Clause 10 (as varied or modified as aforesaid) of the Special Waiver Letter that, during the Waiver Period, each owner shall only be entitled to sell, assign or otherwise dispose of the Lot and the Building or any undivided shares thereto or any interest therein or enter into any agreement so to do upon the following conditions : 「特權豁免書」第(10)條(前述經變更或俢改)列明,每名業主於「豁免期」內只可根據

下列條件,以售出、轉讓或以其他方式處置「該地段」及「該大廈」或當中任何不可

分割分數或任何權益或簽訂任何協議以達至相關效果:

(a) each owner shall first obtain the prior written consent of the Director of Lands to such sale, assignment or disposal, and the prior written consent from the Director of Lands to sell, assign or otherwise dispose of the Lot and the Building or any undivided shares thereto or any interest therein will be deemed to have been given by the Director of Lands provided that such owner shall submit, prior to the sale or conveyance or any agreement so to do, an application for consent (in substantially the form appearing in the Annexure I hereto) to the Lands Department; and 每名業主必先取得地政總署署長對有關售出、轉讓或處置方式的事前書面同意,然

而倘若該名業主於作出是項售賣或轉讓或任何協議之前先向地政總署提呈一份申

請同意書的表格(大致上與附錄 I 所顯示的形式相同),則將被當作已獲地政總署署

長發出對有關售出、轉讓或以其他方式處置「該地段」及「該大廈」或當中任何不

可分割分數或任何權益的事前書面同意;及

(b) each owner shall, as a condition of completion of the assignment or conveyance, procure an undertaking (in substantially the form appearing in the Annexure II hereto and to the satisfaction of the Government) under seal in favour of the Government and the Director of Lands from the purchaser or assignee of the Lot and the Building or such undivided shares or interest (the “Assignee”) whereby the Assignee covenants and undertakes with the Government and the Director of Lands that the Assignee shall observe, comply with and be bound by all the terms conditions and covenants contained in the Special Waiver Letter (in particular that the use of the property acquired by the Assignee shall be for the Permitted Purposes only) and the owners shall be jointly and severally (or both) liable, as

set out in the Waiver, for the performance of the Special Waiver Letter with the owners of other undivided shares or other interest of and in the Lot and the Building. 作為完成轉讓或轉易的必要條件,每名業主必須致使「該地段」及「該大廈」或有

關不可分割分數或權益的買家或受讓方(「受讓方」)訂立一份加蓋印章並以政府及

地政總署署長作受益人的承諾書(大致上與附錄 II 所顯示的形式相同及令政府滿

意),而「受讓方」向政府及地政總署署長承諾會遵照、遵守及受「特權豁免書」

中所有條款、條件及契諾所約束(當中特別指明「受讓方」只可將購置物業作「准

許用途」而已)及業主須如「豁免」所述與「該地段」及「該大廈」內其他不可分

割分數或其他權益的業主共同及個別地(或兩者)為履行「特權豁免書」而負責。

Such undertaking shall be delivered by the owner to the Government within 7 days of the completion of the assignment or conveyance. The owner shall duly registered, or shall procure the Assignee to duly register, a certified copy of such undertaking with the Land Registry contemporaneously with the registration of the relevant assignment or conveyance. 有關承諾書須於完成轉讓或轉易日期 7 天內由業主送達給政府。業主須於土地註冊處

登記相關轉讓或轉易契時同時將有關承諾書的核證副本妥為登記或致使「受讓方」妥為

登記。

4. Termination by the Government in case of Breach 如有違約政府有權終止豁免

(3) During the validity of the Waiver Letter, I/we shall not use *the Lot/the Premises or any part or parts thereof or allow or suffer the same to be used for any purpose other than for the permitted purposes as specified in the Waiver Letter *〔and on terms as set out in the relevant schedule therein〕; and

(4) During the validity of the Waiver Letter, I/we shall only be entitled to sell, assign or otherwise dispose of *the Lot/the Premises or any interest therein or enter into any agreement so to do upon the following conditions:-

(i) I/we shall obtain consent of the Director of Lands to such sale, assignment or disposal; and
