YUCHAI CHARTER focuses on the strategy aspect and tactics aspect of Yuchai Culture, including Yuchai’s Mission,Vision, Business Philosophy and Core Value. As refer to the culture on the execution layer, the culture constructionsfor various business segments of Yuchai must be conducted under the YUCHAI CHARTER.

Yuchai Culture System will be developed by a systematic conclusion and extraction of Yuchai’s outstanding cultural genesand a benchmarking of international first-class enterprises, to make worldwide Yuchai employees have integrated valuesand corporately propel Yuchai’s healthy and rapid sustainable developments.

1.2 目的 Objective

《玉柴宪章》适用于玉柴集团及其下属子公司和关联公司的员工以及玉柴集团董事会成员的日常活动。每一位玉柴人都有责任仔细阅读《玉柴宪章》，理解其含义，并持之以恒贯彻落实。玉柴集团各级领导要率先垂范、自觉承担起传播、践行《玉柴宪章》的责任。

YUCHAI CHARTER is applicable to the employees of Yuchai Group and its subsidiaries and affiliates, and the members of the Board of Directors of Yuchai Group. Every Yuchai employee shall have a careful reading on YUCHAI CHARTER, appreciate the implications in the YUCHAI CHARTER and adhere to implement the YUCHAI CHARTER. The leaders at all levels of Yuchai Group shall take the lead in undertaking the responsibilities on propagating and implementing YUCHAI CHARTER.

《玉柴宪章》由玉柴集团党委管理，原则上每3年对《玉柴宪章》进行1次修订。集团党委办公室负责以书面形式，在集团范围内广泛征求意见，开展修改论证，并制定具体修改提案，提交集团党委常委会审议和批准。

YUCHAI CHARTER, which is managed by the Party Committee of Yuchai Group, might be amended on a three-year basisin principle. The Party Committee Office of Yuchai Group is responsible for collecting opinions in Yuchai Group in a writtenform, conducting amendment demonstrations and drafting amendment proposals for the review and approval from theStanding Committee of the Party Committee of Yuchai Group.

每位玉柴人均有权利和责任基于客观事实反映任何违反或看似违反《玉柴宪章》的情况或活动。玉柴不会因您基于善意提出道德问题而采取报复行为，玉柴不会容忍任何个人报复那些基于善意提出疑虑或进行报告的员工。如果您获悉违反或看似违反《玉柴宪章》的情况或活动，您可以随时通过下列联系方式向集团党委反映。Every Yuchai employee is entitled and obligated to report any circumstance or action that violates, or appears to violate, the YUCHAI CHARTER, which should be based on objective facts and confirmed violation behaviors. Yuchai will not take any action against you as a result of raising an ethical issue in good faith. Also, Yuchai does not tolerate any reprisal by any individual against an employee for raising a concern or making a report in good faith. If you learn any circumstances or actions that violate, or appear to violate, the YUCHAI CHARTER, you may contact the Party Committee of Yuchai Group by:

集团党委办公室负责对违反《玉柴宪章》的情况或活动进行汇总，并根据集团人力资源部、法律事务部的指导意见和相关法律法规，对违规行为提出纪律处分意见，并提交集团党委常委会审核批准后执行。

The Party Committee Office of Yuchai Group is responsible for collecting those circumstances and behaviors that violatethe YUCHAI CHARTER, and raise proposals on the penalties for violations based on the guiding instructions from theHuman Resources Department and Legal Affairs Department of Yuchai Group and on relevant laws and regulations, whichshall be executed with the approval from the Standing Committee of the Party Committee of Yuchai Group.
