Re: 401 Energy Ltd., Farm Owned Power (Melancthon) Ltd. Wind Farm

This letter is being sent to Aboriginal communities and organizations that 401 Energy

Ltd. has identified as potentially having an interest in the above noted project. While we

understand that the Ontario Ministry of the Environment (MOE) will be confirming the

list of Aboriginal communities that should be notified of this project, 401 Energy Ltd. is

taking the initiative to notify you in advance of receiving the list. Previous notification of

this project was sent to your community/organization in April, 2007.

401 Energy Ltd. intends to develop, with the project landowners, a 100 MW wind farm in

the Township of Melancthon in Dufferin County, Ontario (the “Farm Owned Power

(Melancthon) Ltd. Wind Farm”). The majority ownership of the project will be the local

community (land owners). 401 Energy Ltd. has been granted a contract for the sale of

electricity with the Ontario Power Authority (OPA) through the Province’s Feed-in-Tariff

(FIT) program. The project will require approval under Ontario Regulation 359/09 –

Renewable Energy Approval (REA) under the Green Energy Act. The REA process

replaces the previous process that required several separate approvals including, for

example, the Environmental Assessment Act, Planning Act and Environmental Protection

Act. As specified in the REA regulations (Section 17), a project proponent is required to:

• Notify Aboriginal communities of the proponent’s intent to develop the project;

• Provide Aboriginal communities with a copy of the draft Project Description

Report;

• Provide information regarding any adverse impacts that the project may have on

constitutionally protected treaty rights;

• Notify Aboriginal communities of each of the REA Reports that are to be

released; and

• Make a written request that the Aboriginal community provide in writing any

information available to the community that in its opinion, should be considered

in preparing the REA Reports and in particular, any information the community

may have about the adverse impacts that the project may have on constitutionally

protected aboriginal or treaty rights and any measures for mitigating those

adverse impacts.

While Section 17 of the REA Regulations makes reference to the need to submit the

above through a form that has been approved by the MOE, no such form is available at

this time, and the information/request is being made through this letter.

The following addresses the above-noted requirements:

Project Description

The draft Project Description Report (PDR) for this project is attached and includes a

map of the project area.

Information Regarding any Adverse Impacts on Aboriginal or Treaty Rights

There are no Aboriginal communities located within the Project Area, the Township of

Melancthon or Dufferin County as a whole. The Melancthon wind farm project lies

outside the Haldimand Tract, however, it is immediately adjacent to the Tract and it lies

within the Treaty of 1701 boundary. As such, the project may be of interest to the Six

Nations of Grand River community. 401 Energy Ltd. has arranged a meeting with the

Six Nations First Nation.

The following Aboriginal communities and organizations have also been identified as

potentially having an interest in the project:

� Chippewas of the Thames

� Chippewas of Saugeen

� Oneida Nation of the Thames

� Munsee-Delaware Nation

� Chippewas of Kettle & Stony Point

� Union of Ontario Indians

� Association of Iroquois and Allied Indians

� Metis Nation of Ontario

401 Energy Ltd. has no specific information with regard to potential adverse effects that

the project could have on the constitutional and/or treaty rights of the above noted

aboriginal communities. 401 Energy Ltd. is communicating with aboriginal communities

to confirm potential project interest.

REA Reports Summary

401 Energy Ltd. is in the process of completing the following technical reports which are

required for the REA submission to the Ministry of the Environment:

• Construction Plan Report – This report will include a description of the

following: construction activities; location and timing of the construction;

potential negative effects that might be incurred during construction; and

mitigation measures to be implemented to avoid/minimize the identified effects.

• Natural Heritage Features Summary Report – A description of the natural

heritage features in the project area (birds, bats, vegetation, terrestrial and aquatic

wildlife and habitats) and demonstration that required REA setbacks from natural

features have been met.

• Water Assessment Summary Report – A summary of water features in the

project area and demonstration that the required REA setbacks from water

features have been met.

• Design and Operations Report – A description of the following: site plan of the

project showing all project components and their locations; surface water supplies

to be used, potential emissions and waste; an environmental effects monitoring

plan; and response plan to communicate with affected parties.

• Consultation Report – A summary of communication and consultation activities

conducted to date with the public, government agencies and Aboriginal

communities as well as a summary of the communication and consultation

activities that are planned for the future under the REA process, including

responses to concerns that are received.

• Decommissioning Plan Report – A description of the activities that are to be

undertaken should the facility be decommissioned including: procedures to

dismantle the facility; land restoration activities; and procedures for waste

management.

• Noise Study Report – A description of the noise modeling results to demonstrate

that the renewable energy facility will meet MOE specified noise level levels.

• Wind Turbine Specification Report – A technical description of the equipment

and wind turbines to be used.

401 Energy Ltd. would be pleased to provide the above noted reports to interested

Aboriginal communities for their review and comments.

401 Energy Ltd. is making a written request to your community for information that

should be considered in the planning of this project, in particular any information that

As per our letter of May 28th

, 2010 (in which we attached a draft Project Description

Report), landowners in the Township of Melancthon are collaborating with 401 Energy

Ltd. on a locally-owned wind farm project.

The ‘Farm Owned Power (Melancthon) Wind Farm’ would be located approximately 16

kilometres north of the Town of Shelburne, in the Township of Melancthon and the

County of Dufferin, Ontario. If approved, this community-owned wind farm would be

rated as a ‘Class 4 Wind Facility’ under the Renewable Energy Approvals (REA)

regulation (O. Reg. 359/09) with an estimated nameplate capacity of 100 MW.

This project was previously publicly announced in March, 2007, and a public open house

was advertised and subsequently held in April, 2007. This project is now following REA

requirements and the first of at least two Public Information Centres (PICs) will be held

September 29th

, 2010. A copy of the combined Notice of Proposal and Notice of Public

Meeting has been attached to this letter as per the REA requirements of Section 16(6).

The PIC will provide an opportunity for you to ask questions and give feedback directly

to the project proponents.

This letter provides a Notice of Public Information Centre #1 under Ontario Regulation 359/09 – Renewable Energy Approvals (REA) under Section V.0.1 of the Ontario Environmental Protection Act.

In September 2011, Dufferin Wind Power Inc. (DWP) held its’ first round of Public Information Centres for the Dufferin Wind Power Project. At that time a 69kV power line option (within road rights-of-way) was presented to the public. Based on feedback provided by the public and stakeholders DWP is currently examining asecond power line option. DWP is looking to permit both power line options but only one option would be constructed.

The proposed 230kV power line would commence at the project substation located on west ½ of Lot 26, Concession 2, Township of Melancthon and head west through a private easement to an abandoned rail corridor, owned by the County of Dufferin. The proposed power line would then end at part Lot 2, Concession 2, Township of Amaranth, adjacent to the existing Orangeville Transformer Station to connect the power line to the Provincial grid system.

DWP and its’ environmental consultant, Dillon Consulting Limited (Dillon) intends to hold three Public Information Centres to present the 230kV power line option, in each of the affected municipalities, the Townships of Melancthon and Amaranth and the Town of Shelburne. Please see the attached notice for dates, times and locations.

As per REA requirements, a copy of the Project Description Report (PDR) will be made available at the PIC for public and stakeholder review.

On February 24, 2012, DWP released a set of draft REA reports to your community. Minor changes have been made to the site layout based on comments received from the Ministry of Natural Resources.

Dufferin Wind Power Inc. (DWP) is proposing to develop a 100 MW wind farm located within the Township of Melanchthon, Ontario (north of the community of Shelburne, Ontario). As part of our ongoing consultation process and the Renewable Energy Approval (REA) program, we have sent previous notices and documentation to the attention of your community about the Dufferin Wind Project. We have also had the opportunity to engage with several aboriginal communities including the Saugeen Ojibwa Nation (SON), Six Nations of the Grand River, and the Georgian Bay Metis Council.

We have not received any response from your community on previous correspondence that has been sent. We would like to again offer the opportunity to meet with representatives of your community to present the proposed project, receiveyour comments and determine if your community will have an interest in the project. The REA application was submitted to the Ministry of Environment in August for the completeness review. As such, it is important that should your community have potential interest in the project, that we be advised of this as soon as possible.

This letter is to also inform you of the upcoming additional public information meetings (PIC) for the Farm Owned Power (Melancthon) Ltd. /Dufferin Wind Farm (DWP), to be located in Melancthon Township. Public Information Centres (PIC) for the Project under the Renewable Energy Approvals were held in September 2011 and in April and July 2012. Additionally PICs are being held in Amaranth, Shelburne and Melancthon to present additional details and changes to the wind farm layout design and the 230 kV transmission line since last presented to the public. Wind turbine locations have remained the same since the last Public Information Centres in July 2012.

The dates and locations of the additional PIC meetings that are being held to present further details on the 230kV power line option are as follows:
