1.3) ไมเคยเปนสมาชกบรษทขายตรงอนๆ

1.4) ไมเคยมประวตหรอของเกยวกบคดอาชญากรรม

1.5) มความยนดและพรอมอทศตนเพอใหบรการแกสมาชกของศนยการเรยนร

1.6) ไมมประวตการถกระงบการตออายในปกอนหนา

2) ความรบผดชอบและสทธของหวหนาศนยการเรยนร

2.1) หวหนาศนยการเรยนรมหนาทขออนญาตจดทะเบยนเปนเจาของศนยการเรยนรในนามนตบคคล

2.2) รบผดชอบในการบรหารจดการและการจดโปรแกรมการเรยนร เพอใหความรแกสมาชกของ “บรษท” อยางสม าเสมอภายใตระเบยบและ

3.1) ศนยการเรยนรจดตงขนเพอธรกจของอะโทมเทานน หามมใหเชาชวงสนทรพยแกผเชาอนหรอใชเพอวตถประสงคอน

3.2) หามมใหบคคลทสามหรอผทไมมสวนเกยวของมอ านาจในการบรหารโดยเดดขาด หากตรวจพบจะถกด าเนนการลงโทษตามวนย

3.3) หามขายผลตภณฑภายในศนยการเรยนร

4) การรกษาขอมลสวนบคคลของสมาชก

4.1) “หวหนาศนยการเรยนร” หรอพนกงานตองรกษาขอมลสวนบคคลของสมาชก (เชน หมายเลขสมาชก รหสผาน ทอย เบอรตดตอ หมายเลขบตร

ประชาชนและบตรเครดต เปนตน) เปนอยางดและจะไมเปดเผยขอมลตอบคคลอนโดยปราศจากความยนยอมจากสมาชก หากบรษทตรวจพบจะถก

ด าเนนการลงโทษตามวนย

5) สถานทและสงอ านวยความสะดวก

5.1) หามมใหจดตงศนยการเรยนรในชนแรกของอาคารหรอหางสรรพสนคา และจะตองไดรบความยนยอมจาก “บรษท” กอนท าสญญาเชา

5.2) สถานทตองมพนท 80 - 300 ตารางเมตร

5.3) “หวหนาศนยการเรยนร” จะตองจดการคาใชจายและดแลรกษาอปกรณทจ าเปน รวมถงอปกรณสอสารตางๆ แฟกซ สงอ านวยความสะดวก

พนฐาน อปกรณส านกงานและอนๆ ของศนยการเรยนร

5.4) “หวหนาศนยการเรยนร” จะตองไดรบการยนยอมจาก “บรษท” กอนด าเนนการตกแตงศนยการเรยนรทงภายในและภายนอกอาคาร โดยจะตอง

สงผงอาคารและรปถาย รวมถงเอกสารอนๆ ส าหรบการขออนมต

6) ขอจ ากดในการใชชอบรษทและวสดในการเผยแพรผลงานตอสาธารณะ

6.1) หามมใหโฆษณาผลตภณฑดวยขอมลทเกนจรงหรอบดเบอน เวนแตไดรบอนญาตใหเผยแพรขอมลทไดรบจากบรษทเปนลายลกษณอกษร

6.2) หามจดท าใบปลว โปสเตอรและแบนเนอร กลาวคอ “บรษท” จะเปนผจดท าอปกรณดงกลาวส าหรบการตกแตงศนยการเรยนรใหแกสมาชก

เพยงผเดยว

6.3) หามมใหจดท ารปภาพทแสดงถงการเปนตวแทนของบรษท (เชน ปายโฆษณาทระบค าวา “บรษท จ ากด” “อยางเปนทางการ” “ไดรบการ

รบรอง” หรอขอความทกอใหเกดความสบสน)

7) การอนมตกอนกระท าการเปลยนแปลงใดๆ 7.1) กอนกระท าการเปลยนแปลงใดๆ อนเกยวของกบศนยการเรยนร จะตองไดรบความยนยอมจาก “บรษท”

8) เงอนไขการปดศนยการเรยนร

8.1) ละเมดระเบยบขอบงคบศนยการเรยนร

8.2) ไมเขารวมอบรมหรอสมมนาของ “บรษท” โดยปราศจากเหตผลอนสมควรเปนระยะเวลาเกนกวาสามเดอน

8.3) “หวหนาศนยการเรยนร” หรอสมาชกของศนยการเรยนร กระท าการใดๆ ซงขดตอระเบยบของบรษทอนท าใหบรษทไดรบการรองเรยน

8.4) ไมสงตารางเวลาของศนยการเรยนรเปนระยะเวลาเกนกวาสามเดอน

9) การประเมนศนยการเรยนร

9.1) “หวหนาศนยการเรยนร” จะตองผานการทดลองงานเปนระยะเวลา 6 เดอน และอยในระดบเซลลมาสเตอรหรอระดบทสงกวาเปนระยะเวลา 3

ครง ภายใน 6 เดอนทผานมา

9.2) การจดตงศนยการเรยนรขนอยกบดลยพนจของบรษท

ขาพเจารบทราบ ยอมรบ และจะปฏบตตามระเบยบและเงอนไขทกลาวมาขางตน การละเมดสญญาอาจกอใหเกดการยกเลกหรอสนสดสญญาในการเปนหวหนาศนยและการจดตงศนยการเรยนรอะโทม

AGREEMENT OF EDUCATION CENTER Atomy Co., Ltd. (“The Company”), agrees to enter into this Agreement with _________________________________________________

__________________________________________{Name}, with IC number ___________________. The applicant of pre-authorized

Education Center (the “Center Leader”), on _______________ {DD/MM/YY}.

Date of validity of The Agreement is 6 months, and renewal shall be done 2 (two) weeks prior to the expiry date under mutual agreement between

the two parties. Pre-authorized center must meet regular center establishment qualifications within the period of agreement (6 months). Should all

the terms and conditions of The Agreement be met and there are no special circumstances that risk disqualification of this agreement in any way,

the renewal of The Agreement shall be automatic

This agreement is based on the following provisions:

1) Qualification of Center Leader

1.1) Must be a Thai citizen

1.2) Must accumulate 5 million PV or above to center application (Personal PV must be 700,000 PV or above and group PV of 4.3 million or

above. Group PV must be the Thailand generated PV) or get approval or guarantee from leader clubs’ members.

1.3) Not a member of any other multi-level marketing company.

1.4) Has not been involved with any kind of criminal activities or has a pending case in the criminal court.

1.5) Willing to contribute his/her time for Atomy business and devote him/herself to providing services to the center members.

1.6) Not received any suspension in previous year.

2) Responsibilities and rights of the Center Leader

2.1) The center leader will be responsible in obtaining the necessary government permits to operate the center on behalf of a

corporate from a government agency

2.2) Bear all the responsibility of continuously managing and running education programs to educate the Atomy members of “The

Company” on the rules and regulations with regards to the registration, termination, compensation plan, purchase of products and

settlement of payment, member’s Code of Conduct, etc.

2.3) Attending meeting and training as requested by “The Company”.

2.4) Keep members informed of the latest update from “The Company”.

2.5) Advise member not to engage in public advertising activities or internet sales of Atomy products.

2.6) Provide monthly education schedule to “The Company” at the end of each month.

2.7) Must not sell Atomy products in the center or on any other website.

2.8) Must not mislead members by providing false or exaggerated information regarding company and products.

2.9) Must not engage in or recommend other multi-level marketing businesses, advertise or sell the products to existing Atomy members.

2.10) Resolve and intervene in member dispute.

2.11) Support to company activities including One Day Seminar and Success Academy.

3) Prohibited activities in the center

3.1) The center is strictly to be use for Atomy business only. Re-rent of the property to other tenant or use for different purposes are not allowed.

3.2) Dislodgement from management of center through the use of third parties to exercise managerial authority is strictly

forbidden, and involved parties shall be dealt with disciplinary action if discovered.

3.3) Sales activities of any kind is prohibited within the education center. Other prohibited activities include excessive use of outdoor exhibition,

placing of price tags and setting up selling stalls.

4) Protection of members’ personal information

4.1) “Center Leader” or management staff(s) must ensure that members’ personal information (e.g. ID, password, address,

contact number, IC number, credit/debit card number, etc.) are well protected and not disclosed to third parties without consent

from members. Strict action will be taken once discovered.

5) Location, facilities and furnishing

5.1) Must not set up in a place originally for residential purpose, ground floor of a property, shopping mall. Kindly seek approval

and advise from “The Company” before signing tenancy agreement.

5.2) Size of the center must be at least 800 - 3000 square feet.

5.3) “Center Leader” shall set up and maintain necessary equipment/infrastructure such as, but not limited to telecommunication

devices, fax, infrastructural facility, office equipment etc., and other fundamental facilitations necessary for the management of the

Education Center, which “Center Leader” shall duly bear all costs involved.

5.4) Prior approval for decoration inside and outside of the education center is needed before operation. “Center Leader” shall submit their floor

plan, picture or any other documents for approval.

6) Limitations to the use of company name and production of publicity materials

6.1) Exaggeration or falsification product performance for advertisement is not allowed. Only official resources from the company are allowed to

be distributed to the members.

6.2) Use of flyers, bulletins, posters, banners and name cards designed and produced voluntarily is strictly forbidden . “The Company” is

responsible to decide and provide the posters and banners for the interior decoration.

6.3) Any form of image that claims to be representing the company (e.g. use of billboard that uses words like “Co. , ltd.” , “official” , “ formal” ,

“endorsed”, etc. that leads to confusion is forbidden). 7) Approval needed for changes made to the center 7.1) Prior approval from “The Company” is needed whenever any changes made to the center. Those changes including change of “Center Leader”, relocation of center, etc.

8) Conditions of cancellation or closing of the center

8.1) Does not conform to the rules and regulations of education center.

8.2) Does not participate in “The Company” official training or seminars without any proper explanation for more than three months.

8.3) Occurrence of complaints resulting from violation of the regulation of “The Company” by the leader or members of the center.

8.4) Does not provide education schedule monthly for more than three months.

9) Re-evaluation of conversion to regular education center

9.1) 6 months of probation period will be given to “Center Leader” to achieve sales master or higher mastership at least 3 times

in the recent 3 months.

9.2) Approval for establishment of regular education center is subject to company discretion.

We, the undersigned, agree to all the provisions listed above, breach of The Agreement may result in the cancellation or termination to the appointment of Center Leader and establishment of Atomy education center.
