LAPORAN DewAN KOMiSARiSBOARD OF COMMISSIONERS REPORT
It is a great pleasure or me to report that despite challenging
business environment, the Compan was able to exceed
its perormance targets and maintain the ear-on-ear
improvement in its corporate market share. We are satisedthat the Board o Directors ormulated appropriate strategies
to optimise the Compans perormance in 2011, and we are
condent that their successul execution o these strategies
has positioned the Compan or urther growth over the
coming ear.
The Management continued to strengthen the Compans
portolio through a combination o strategic market
development initiatives and strong innovation across all
divisions. We concur with the Management that innovation
is the ke to sustainable growth or the Compan, and
support urther investment behind product development
in the coming ear. We note that through disciplined cost
management measures and anticipator pricing actions,
Management successull addressed the challenge posed
b escalating commodit prices, and maintained operating
margins satisactoril.
The Board o Commissioners exercised oversight over the
management o the Compan through quarterl meetings
to review perormance and b keeping regular contact with
the Board o Directors on all pertinent issues, including
economic and regulator developments as well as social andenvironmental matters.
Sungguh merupakan kebahagiaan bagi saa untuk
melaporkan bahwa kendati menghadapi iklim usaha ang
penuh tantangan, Perseroan mampu mencetak kinerja ang
melampaui target sekaligus mempertahankan peningkatantahunpertahun dalam pangsa pasar korporasina. Kami
puas atas keberhasilan Direksi dalam memormulasikan
strategi ang tepat untuk mengoptimalkan kinerja Perseroan
sepanjang tahun 2011, dan kami akin bahwa keberhasilan
penerapan rangkaian strategi tersebut telah menempatkan
Perseroan untuk dapat tumbuh secara berkesinambungan
di tahun mendatang.
Manajemen terus berupaa untuk memperkuat portoolio
Perseroan melalui kombinasi prakarsa pengembangan pasar
strategis dengan inovasi ang kuat di seluruh divisi. Kami
sependapat dengan Manajemen bahwa inovasi merupakan
kunci dari pertumbuhan berkelanjutan Perseroan dan kami
mendukung dilanjutkanna investasi pada pengembangan
produk di tahun mendatang. Kami mencermati bahwa melalui
upaa pengelolaan biaa ang taatazas serta langkah
antisipasi penetapan harga, Manajemen telah berhasil
mengatasi tantangan ang timbul dari lonjakan harga
komoditas, dan mempertahankan marjin usaha secara eekti.
Dewan Komisaris melaksanakan ungsi pengawasan atas
jalanna pengelolaan perusahaan melalui pertemuan setiap
kuartal untuk meninjau kinerja dan dengan memelihara
hubungan secara teratur dengan Direksi mengenai semua
isu penting ang terkait, termasuk masalah ekonomi danperubahan peraturan perundangundangan serta masalah
sosial dan lingkungan.

We have reviewed and accepted the report o the Board o
Directors and the consolidated nancial statements or the
ear ended 31 December 2011, audited b KAP Tanudiredja,
Wibisana & Rekan a member rm o PwC global network.
The Compans nancial reporting is now ull compl with
the new Statement o inancial Accounting Standards PSAK,
as required b Indonesian law. We are also in agreement with
the Board o Directors proposal on the distribution o prot.
In perorming our oversight over the nancial matters o the
Compan, we are assisted b the Audit Committee, which
has provided regular updates to the Board on internal audit
ndings, the progress o the independent audit, the qualit
o the Compans earnings, and compliance with relevant
domestic and international legislation and norms. All the
issues that have emerged have been ollowed up and brought
to an acceptable conclusion.
Unilevers mission to create a better uture everda is
accomplished not onl through the innovative, qualit
products it brings to the market, but also through its
corporate social responsibilit programme. The Compans
Kami telah mengkaji dan menerima laporan Direksi dan
laporan keuangan konsolidasian per 31 Desember 2011,
ang diaudit oleh KAP Tanudiredja, Wibisana & Rekan rma
anggota jaringan global PwC. Pelaporan keuangan Perseroan
kini telah sepenuhna memenuhi ketentuan Pernataan
Standar Akuntansi Keuangan PSAK terbaru sesuai dengan
ang dipersaratkan oleh Peraturan Perundangundangan
Indonesia. Kami juga menetujui usulan Dewan Direksi atas
penggunaan laba Perseroan.
Dalam pelaksanaan pengawasan keuangan Perseroan ,
kami dibantu oleh Komite Audit, ang telah memberikan
laporan secara berkala kepada Dewan atas temuan audit
internal, perkembangan dari audit independen, kualitas dari
penghasilan Perseroan, dan kepatuhan terhadap peraturan
dan norma domestik maupun internasional ang relevan.
Semua isu ang muncul telah ditindaklanjuti dan memperoleh
solusi ang dapat diterima.
Misi Unilever untuk menciptakan masa depan ang lebih baik
setiap hari telah dipenuhi bukan saja melalui produkproduk
berkualitas ang inovati ang dihadirkan ke pasar, namun
juga melalui program tanggung jawab sosial Perseroan.

On behal o the Board I would like to extend m appreciationto m predecessor as President Commissioner, Mr. Jan
Zijderveld, who has been assigned to head the Unilevers

Dutch citizen, born in the Netherlands. President Commissioner o
Unilever Indonesia since December 2011. He has also been Unilevers
EVP, SEAA since September 2011. Having started his career with Unilever
in Holland, he has held several senior posts in the Compans global
operations, including Chairman, Unilever Benelux; President, Dutch
Unilever Companies; Global Head, Ice Cream Categor EVP IC; Chairman,
IgloMora Group Holland; and Chairman, Walls China. Outside Unilever,
he is a member o the operating board o VNO/NCV Dutch association o
industr and trade; CoChairman o NLI, the Dutch MCG association;
Cochairman o GS1 Holland and a Board member o the Museum
Boijmans van Beuningen. He graduated rom Erasmus Universit,
Rotterdam, the Netherlands, in 1988, majoring in Monetar Economics and
Business Administration.
Warga negara Belanda, lahir di Belanda. Komisaris Utama Unilever
Indonesia sejak Desember 2011. Beliau juga menjabat sebagai EVP dan
SEAA Unilever sejak September 2011. Memulai karir bersama Unilever di
Belanda, beliau telah menempati beberapa posisi senior dalam operasi
global Perseroan, termasuk di antarana: Chairman, Unilever Benelux;

o several leading companies, including as President Commissioner o

Commissioner o Unilever Indonesia since 2004, and Chairman o the
Audit Committee since 2005. Since 2003 he has been an Independent
Commissioner o PT Bank Central Asia Tbk. He served Bank Indonesia or
25 ears, including a term as Director o the Mone Market and Monetar
Management Department 19941998, and was an Alternate Executive
Director and Technical Assistance Advisor or the Monetar and Exchange
Aairs Department, International Monetar und IM in Washington rom
1998 to 2003. As well as holding several managerial positions in government
and nongovernment institutions, he was Assistant to the Minister o
Trade between 1988 and 1989. He is currentl a lecturer at several major
universities in Jakarta and requentl speaks at domestic and international
seminars, as well as writing or various media publications. He graduated
in Accounting rom Gadjah Mada Universit in 1977, and holds a Mastersdegree in Development Economics rom the Centre or Development

1984 he worked or Drs. Hadi Sutanto a PriceWaterhouse Correspondent
and then at PT Sumarno Pabottinggi Management, a consulting rm,
until 1990, when he joined Lippo Group as an Executive Director. In 1998
he was appointed President Director o the Indonesian Stock Exchange
IDX, where he served until Jul 2009, and was President Director o
PT Kustodian Sentral Eek Indonesia rom 1998 to 2002. He activel
contributes to several organisations, including the Indonesian Chamber
o Trade KADIN as Vice Chie o the inance Committee, and as a

Indonesian citizen, born in Jakarta. Independent Commissioner o
Unilever Indonesia since Ma 2011. He is currentl also serving as
an Independent Commissioner o PT Aneka Tambang Tbk Ma 2009
present and PT Tugu Reasuransi Indonesia November 2008present.
He is also a Member o the Taxation Oversight Committee at the Ministr
o inance, March 2010present, a Member o the Legal Experts Team
at the Ministr o Deense ebruar 2010present and a Member o the
Legal Committee at the Ministr o StateOwned Enterprises September
2011present, and was a Member o the Expert Council at the Ministro Justice and Human Rights 2004 2005. He worked at the National
Development Planning Board Empowerment o the Commercial
Court Adviser rom 2001 to 2002, and was Senior Legal Adviser to the
Coordinating Minister or Economic Aairs rom 1999 to 2001. Prior to
that he served in various capacities at a number o prominent law rms
in Jakarta. He has been a Proessor o Law at the Universit o Indonesia
since 2001, and served as Dean o the acult o Law rom 2004 to 2008.
He also teaches Law at several other prominent universities in Indonesia
and has been a visiting proessor at the Universit o Melbourne, National
Universit o Singapore and Nagoa Universit, Japan. As an independent
researcher he has published numerous books, articles and research
papers on various aspects o international law, business law, and air and
space law, among others. He graduated with a degree in Law rom the
Universit o Indonesia in 1987, and holds an LLM rom Keio Universit,
Japan 1992 and a PhD rom the Universit o Nottingham, UK 1997.

Independen PT Aneka Tambang Tbk Mei 2009sekarang, dan PT Tugu

anggota Komite Pengawas Perpajakan Kementerian Keuangan
Maret 2010sekarang, Anggota Tim Ahli Hukum pada Kementerian
Pertahananebruari 2010sekarang dan Anggota Komite Hukum
Kementerian BUMN September 2011sekarang, serta Anggota Dewan
Pakar pada Kementerian Hukum dan HAM 20042005. Beliau bekerja di
BAPPENAS Bidang Pemberdaaan Hukum Niaga dari 2001 to 2002, dan
Penasihat Hukum Senior pada Menteri Koordinator bidang Ekuin dari 1999
hingga 2001. Sebelumna beliau bekerja dalam berbagai kapasitas senior
pada sejumlah rma hukum terkemuka di Jakarta. Mendapat pengukuhan
gelar Proessor bidang Hukum dari Universitas Indonesia pada 2001,
dan menjadi Dekan akultas Hukum dari 2004 hingga 2008. Beliau juga
menjadi dosen Ilmu Hukum di berbagai universitas terkemuka di Indonesia
sekaligus menjadi proesor tamu di Universit o Melbourne, National
Universit o Singapore dan Nagoa Universit, Jepang. Sebagai peneliti
independen, beliau telah mempublikasikan sejumlah buku, artikel dan
makalah penelitian tentang berbagai aspek hukum internasional, hukum
udara dan ruang terbuka. Meraih gelar Sarjana Hukum dari UniversitasIndonesia tahun 1987, dan gelar LLM dari Keio Universit, Jepang 1992
serta PhD dari the Universit o Nottingham, UK 1997.

I am pleased to report that 2011 turned out to be a great ear
or Unilever Indonesia. We were aced with some serious
challenges, but the wa we pulled through to deliver strong
results b the end o the ear was testament to the innate
strengths at the core o our Compan.
Overall, our sales grew 19.2% to reach Rp23.5 trillion.
Operating income was Rp5.5 trillion, with an operating margino 23.2%. Net cash fow rom operating activities was Rp5.5
trillion in 2011, an increase o 50.9%.
We entered 2011 with cautious optimism. Having experienced
a relativel weak consumer market in 2010, there were ears
that infation triggered b rising commodit prices could
have led to a urther sotening o the market, which could
potentiall have a severe impact on our results. This threat
ailed to materialise, however, instead we saw a stead
improvement in consumer condence over the course o the
ear and in particular a resurgence o Indonesias rapidl
growing middle class, on the back o urther strong macroeconomic perormance b the countr.
Against this backdrop, in a ear when we were conronted
b escalating prices o two critical commodities, crude oil
and vegetable oil, alongside intensiing and aggressive
competition, we recorded a ver satisactor perormance
across all dimensions. We delivered volume growth and
broadl maintained our gross margins in all our core
businesses. We strengthened our market position, with all
divisions posting strong double digit growth, and maintained
the earonear improvement in our corporate market
shares. At the same time, we continued to deliver a series
o excellent innovations across our Home & Personal Care,
oods & Beverages.
Saa merasa bangga dapat melaporkan bahwa tahun 2011
merupakan tahun istimewa bagi Unilever Indonesia. Kami
dihadapkan pada berbagai tantangan serius, namun cara
kami mengatasina dengan pencapaian hasil ang kuat pada
akhir tahun merupakan bukti dari kekuatan Perseroan kami.
Secara total, penjualan tumbuh 19,2% menjadi Rp23,5 triliun.
Laba usaha mencapai Rp5,5 triliun, dengan marjin usaha23,2%. Arus kas bersih ang diperoleh dari aktivitas operasi
sebesar Rp5,5 triliun pada 2011 meningkat 50,9%.
Kami memasuki 2011 dengan sikap optimis namun tetap
berhatihati. Setelah mengalami pasar konsumen ang relati
melemah pada 2010, ada kekhawatiran bahwa tingkat infasi
ang dipacu oleh kenaikan harga komoditas dapat membawa
dampak pelemahan pasar lebih lanjut, ang berpotensi
berdampak buruk pada pencapaian hasil kami. Kekhawatiran
tersebut ternata tidak terjadi, bahkan sebalikna kami
melihat peningkatan ang mantap dalam keakinan
konsumen selama tahun berjalan, khususna kebangkitankelas menengah ang tumbuh secara cepat, didukung oleh
kinerja makro ekonomi Indonesia ang makin kokoh.
Dengan latar belakang tersebut, di tahun ketika kami harus
menghadapi eskalasi harga dari dua jenis komoditas penting,
aitu minak mentah dan minak nabati, serta semakin ketat
dan agresina tingkat persaingan, kami membukukan kinerja
ang sangat memuaskan di seluruh dimensi usaha. Kami
berhasil mencatat pertumbuhan volume dan mempertahankan
marjin laba kotor di semua bisnis. Kami juga berhasil
memperkuat posisi pasar kami, di mana seluruh divisi
mencatat pertumbuhan ang kuat hingga dua digit seraa
mempertahankan peningkatan pangsa pasar korporasi. Pada
saat ang sama, kami terus meluncurkan inovasi unggulan di
seluruh divisi Home & Personal Care, oods & Beverages.

We managed to achieve such good results in an extremeldemanding business environment owes much to our strong
undamentals, a rigorous approach to costs and the depth o
our portolio.
We met the challenge o rising commodit costs headon
b strengthening our discipline around cost management.
Across the ull spectrum o our operations, Management
ocused on taking out costs that consumers were not
willing to pa. We sought to leverage eciencies in our
manuacturing and distribution processes and put pressure
on overheads.
In particular, we intensied our ocus on getting a return
on marketing investments b making our advertising and
support spend work harder and eliminating unproductive
media, while at the same time spending eectivel behind our
innovations to generate value or the business. Overall, we
successull generated signicant savings rom our suppl
chain that enabled us to oset the surge in crude oil and
vegetable oil prices.
Complementing these aggressive moves on costs, we took
action on pricing timel to protect our margins, which gave
us sucient scope to continuousl build our brand equities.
Ultimatel, through this holistic response to a challenging
environment, we successull maintained our operating
margins or the ear.
Throughout the ear we continued to execute a strateg
that plas to our core strengths: driving innovation and
accelerating market development. Strong innovations
underpinned an excellent perormance b our Ice Creambrands, and in particular we maintained the momentum
o the hugel successul relaunch o Magnum in late 2010
b opening the rst Magnum Cae in Jakartas prestigious
Grand Indonesia shopping mall. The ear also saw highl

periklanan dan dukungan terkait serta menghapuskan
belanja media ang tidak produkti. Pada saat ang sama
kami juga melakukan pembelanjaan secara eekti untuk
mendukung inovasi guna meningkatkan nilai dari bisnis
kami. Secara keseluruhan, kami berhasil meningkatkan
penghematan secara signikan dari rantai pasokan kami
sehingga memungkinkan kami untuk mengkompensasi
kenaikan harga minak mentah dan minak nabati.
Melengkapi serangkaian langkah agresi di bidang biaa,
kami juga menesuaikan harga pada saat ang tepat untuk
melindungi marjin kami, sehingga dapat memberi ruang
ang cukup bagi kami untuk membangun brand equitkami
secara berkelanjutan. Pada akhirna, melalui respons ang
dilakukan secara holistik terhadap lingkungan ang penuh
tantangan, kami dapat mempertahankan marjin usaha kami.
Selama tahun pelaporan, kami terus menerapkan strategi
ang memaksimalkan kekuatan utama kami: mendorong

Rp1.7 trillion. We have made serious eorts to strengthen
distribution and improve coverage.
