Dear FSG Customers of Cookeville, Algood and Gainesboro,

We are marching closer and closer to the May 13, 2016 date when the FSG branches in Cookeville, Algood and Gainesboro will officially become offices of First Freedom Bank. We are excited about this event and are confident you will be very pleased with the service we provide.

WHAT TO EXPECT For the last several weeks, our teams have been working very hard to make this transition as seamless as possible for you. On Friday May 13th, the sale of the branches will be completed. On Monday May 16th, the branches will officially open as offices of First Freedom Bank. Exciting options are coming your way – new products and services, an innovative e-banking platform and an expanded footprint in Middle Tennessee.

As you know from previous communication, all of the current FSG employees will become First Freedom employees. Plus, your checking account type will remain the same. While we would prefer to handle every aspect of this change for you, there are some things that federal privacy laws prohibit us from addressing:

1. If you are paid through direct deposit from your employer, you will need to inform your employer of the newbank routing number (064109086). Your personal account number will not change. Please communicate thiswith your employer to be effective on May 16th.

2. If you currently have automatic charges to your checking account (such as monthly utilities, insurance drafts, etc),you will need to make the change to the new bank routing number (064109086) effective May 16th.

3. If you use internet banking and/or bill pay, beginning May 16th you will log into your internet banking through thefirst freedom website, www.firstfreedombank.com. Your Username will remain unchanged, however, your newtemporary PIN number will be your 5 digit zip code and the last four digits of your social security number. Oncethis is entered, you will be able to change the password to your preference. All of your scheduled transfers, billpay settings, payees, etc will be automatically converted for you.

4. You will be issued a new Debit card with a new Debit Card number and a new PIN number the week of May 2nd.For security reasons, the card and PIN number will arrive in separate mailings approximately two days apart.This card may be immediately activated; however, it will not be usable until 10:00 pm on Friday May 13th. If youhave allowed a business to keep your debit card number on file for charges, you will need to inform them of yournew debit card number.

MAY 4 New First Freedom Bank debit cards will be mailed. On May 6th your new Personal Identification number (PIN) will be mailed. You may activate your card anytime, however; your card will not be usable until 10:00 pm on Friday, May 13th.

MAY 13 Online Banking, Bill Payment system and Mobile Banking will be unavailable from Friday, May

13th at 5:00 pm thru Monday, May 16th at 8:00 am. Items that were previously scheduled will remain in place.

MAY 14 Conversion of all accounts and services:

On Saturday, May 14th, all bank offices will be closed due to the scheduled conversion. Offices will reopen on Monday, May 16th at 8:00 am as offices of First Freedom Bank.

MAY 16 Access your First Freedom Bank online banking at www.firstfreedombank.com

Your username will remain the same.

Your password will be your zip code and the last 4 digits of your social security number.

Any online banking alerts you currently have setup must be re-established within First Freedom Bank’s online banking system.

All of your Payees and scheduled payments will automatically transfer and require no involvement on your part.

Automatic Funds Transfers Forget to make a transfer? No problem! Sign up for automatic funds transfers. You can choose to automatically transfer from one account to another to cover your needs!

ATMs The ATMs will be rebranded as First Freedom Bank ATMs beginning the week of May 2, 2016. The deposit function will not be available until further notice. You will be able to make deposits after hours in the Night Drop Box located at each office or using the mobile app.

Online Banking & Bill Pay We are excited for you to experience First Freedom Bank’s online banking & bill pay system. You will retain your existing username. Your temporary password will be your zip code and the last four digits of your social security number. All of your existing payees will carry over to the new system as well as any scheduled or recurring transfers. If you have any changes to your personal information or your bill pay please make these changes prior to May 13, 2016.

Checks You may continue to use your FSG Bank Checks until May 13, 2016. Any outstanding checks will be converted to your new First Freedom Bank routing number for you as they clear. If you purchased checks from your local FSG branch, new checks will be mailed to you approximately1 week prior to the conversion on May 13, 2016. When you are ready to re-order checks please contact your local office.

Commercial Loans, Lines of Credit, Consumer Loans, Consumer Lines of Credit, and Consumer Mortgages The bank acquisition will not have any impact on your existing loan rates, terms or conditions. Please continue to make your loan payments as usual, until further notice.

Consumer Mobile Banking Beginning May 16, 2016 you will need to enroll into First Freedom Bank’s Mobile Banking system. To enroll, download the First Freedom Bank mobile app from the Apple or Google Play stores.

ATM/Debit Card New ATM/Debit cards will be mailed to you May 4, 2016. Your new Personal Identification number (PIN) will mailed May 6, 2016. Your may activate your card at any time, however this card will not be active until10:00 pm, Friday, May 13, 2016.

Direct Deposit You will need to change the routing number to 064109086 on these transactions effective May 16, 2016. Please call our Deposit Operations Team at 931-372-7999 for questions.

End of Day Cut-off Times In order for a deposit to be credited to your account the same business day, it must be made before your office closes. Any transactions completed after this time, or on a non-business day, will be credited to your account on the next business day. Business days are Monday through Friday, except for federal banking holidays

e-Statements You will need to print or store your previous FSG e-Statements as they will not be available after May 13th. Your new First Freedom e-Statements will be available on a rolling twelve month basis.

Merchant Services A First Freedom Bank representative will be in touch with more information.

Safe Deposit Box There will be no changes to your Safe Deposit Box.

E‐BankingProductsOnline Banking Use First Freedom’s Online Banking anytime anywhere. We take our customers security to the highest level. Out of Band technology is used to help protect you with each login. With Online Banking you can check your balance, make transfers to other accounts you have with us, change the names of your accounts using the Nick Name feature, and you can also manage alerts. The alert feature houses many options for which you may choose to be notified; items could be, tell me when my balance gets below $200 or tell me when my account information is changed. These alerts can be sent to an email address or to the cell phone number on file via a SMS message. There is also a secure messaging system you can communicate with First Freedom Deposit Operations staff. These messages are checked throughout each business day. If you need to pay someone just launch Bill Pay and away you go. If you are a business customer and would like to send your employees their paycheck let us know and we can get the process started for you. If you have never enrolled in Online Banking go to www.firstfreedombank.com and select Online Banking Login, on the right you will see a link to enroll now. In this process the system will verify what our core system has for you. Items include your date of birth and address. You need to be sure to enter the information just has your account is titled. If your address in the system is Road and you enter Rd, your enrollment will be put in a pending status and you will need to call into the Deposit Operations team to get this resolved. Online Banking Password Requirements Your Online Banking password will change every six months. The password will be made up of a minimum of 10 characters; of the 10 you must use two numbers, upper and lower case letters, and a special character. After the conversion you have been assigned a temporary password to use, this password will be unique to you, using your zip code and the last four digits of you Social Security Number on file. Mobile Banking To use Mobile Banking, you first must be enrolled in Online Banking. Your username and password are the same for both Mobile and the full version of Online Banking. Go to the Apple or Google play stores to download our free app. All you need to do is search First Freedom Bank and the app will display for you to download. In the app you have the ability to view your accounts, make transfers real time, and access information from Bill Pay. When using the Bill Pay function you can send payments you just cannot add a payee, to manage your payee you will need to use the full version. In the event your password needs changed or you need to update any information you must use the full version. One of the more popular items inside of the app is Mobile Remote Deposit; this is described in more detail later. Use of the app is of no charge from First Freedom however data rates would apply. Mobile Remote Deposit When using the mobile app one of the features allows you to make a deposit by taking a picture of the check. You will tell it which account and how much the check is for, then you will take a picture of the front and back. It is very important to only deposit checks made out to the account holder and to endorse them properly. Once the deposit has processed you receive a series of emails letting you know the progress of your transaction.

One difference of using this feature versus making your deposit inside the branch is availability. When you make a deposit in the branch the deposit “memo posts” and if a hold is not placed you could use those funds immediately. When using Mobile Deposit the check will not “memo post” but will show in your account after processing. The bank may also place a 5 day hold on the check you deposited remotely, but you don’t have to go anywhere to make your deposit. This feature is consumer only, has a cut off time of 5 pm CST and there is no fee. Online Banking Bill Pay Inside of Online Banking you can launch Bill Pay this is a single sign on link so there is no need for you to remember another user name and password. Inside of the Bill Pay program you have the ability to send items to any payee. This product is the same platform you are currently using; the look may just be slightly different. There is no charge for this service to either consumer or business accounts. One feature inside of Bill Pay which is a favorite is P2P. Using this you can send money to most anyone as long as you have their account number and routing number. This is great for the college student who needs to send their roommate their half of the rent. If you are a business customer we ask you not to use the P2P function for your payroll. This is a regulatory issue and we are more than happy to work with you in a Cash Management Product. e-Statements Another Single Sign on item inside of Online Banking is E-statements. Inside of this feature you will find a rolling 12 months of your bank statements. One of the benefits of this product is speed. With this the statements are normally ready within one business day of your statement date. You will also receive an email letting you know your statement is ready to view. Receiving the traditional statement in the mail as we know takes much longer. The statement inside of this product has the same information as the paper statement; it is just in a more electronically viewable format. Other Services First Freedom also offers services to business customers exclusively called Cash Management Services. These services are set up in connection with your branch and Deposit Operations. They include ACH, Remote Deposit, and Wires via Online Banking.

ACH Services – payroll files, accounts payable files, accounts receivable files just to give you a few examples.

Remote Deposit – make your check deposits at your office without coming to the bank

Wire services – this is good for attorneys or other business such as someone in the real estate business who sends multiple wires a month

Q: Will my office hours change? A: No, your office hours will remain unchanged. Q: Will my account number(s) change? A: No, your account number(s) will remain the same. Q: Will my bank routing number change? A: Yes, the new routing number will be 064109086. Q: What will happen to my Direct Deposit or Automatic Funds Transfers? A: You will need to change the routing number on these transactions effective May 16th. Please call our Deposit Operations Team at 931-372-7999 for questions or help. Q: What is the cutoff time for online banking transfers? A: Online banking transfers are completed immediately. Q: How will this affect my online banking and bill pay? A: There will be minimal change to your online banking.

Q: What happens to my Quicken/Intuit connection? A: This connection will need to be re-established after May 16th and any history would need to be saved prior to May 13th. History in your current Quicken environment will not be retrievable. Q: What will change with the ATMs? A: ATMs will begin conversion to First Freedom Bank during the week of May 2nd. The deposit function will not be available until further notice. You will be able to make deposits after hours in the Night Drop Box located at each office or using your free mobile app.

FUNDS AVAILABILITY DISCLOSURE

Our policy is to make funds from your cash and check deposits available to you on the firstbusiness day after the day we receive your deposit. Electronic direct deposits will be available onthe day we receive the deposit. Once the funds are available, you can withdraw them in cashand we will use them to pay checks that you have written.

For determining the availability of your deposits, every day is a business day, except Saturdays,Sundays, and Federal holidays. If you make a deposit before 4:00 P.M.Monday through Thursday or before 5:30 P.M. Friday on a business day that weare open, we will consider that day to be the day of your deposit. However, if you make a depositafter these cut-off times or on a day we are not open, we will consider that the deposit was madeon the next business day we are open,

LONGER DELAYS MAY APPLY

In some cases, we will not make all of the funds that you deposit by check available to you on thefirst business day after the day of your deposit. Funds may not be available until the secondbusiness day after the day of your deposit. However, a minimum of the first $200.00 of yourdeposits may be available on the first business day.

If we are not going to make all of the funds from your deposit available on the first business day,we will notify you at the time you make your deposit. We will also tell you when the funds will beavailable. If your deposit is not made directly to one of our employees, or if we decide to take thisaction after you have left the premises, we will mail you the notice by the day after we receiveyour deposit.

If you will need the funds from a deposit right away, you should ask us when the funds will beavailable.

In addition, funds you deposit by check may be delayed for a longer period under the followingcircumstances:

• We believe a check you deposit will not be paid.• You deposit checks totaling more than $5,000.00 on any one day.• You redeposit a check that has been returned unpaid.• You have overdrawn your account repeatedly in the last six months,• There is an emergency, such as failure of communications or computer

equipment.

We will notify you if we delay your ability to withdraw funds for any of these reasons, and we willtell you when the funds will be available. They will generally be available no later than the

7th business day after the day of your deposit.

SPECIAL RULES FOR NEW ACCOUNTS

If you are a new customer, the following special rules will apply during the first 30 days youraccount is open.

Funds from electronic direct deposits to your account will be available on the day we receive thedeposit. UNAUTHORIZED TRANSFERS(a) Consumer Liability. Tell us at once if you believe

your card and/or code has been lost or stolen, or if youbelieve that an electronic fund transfer has been madewithout your permission using information from yourcheck. Telephoning is the best way of keeping yourpossible losses down. You could lose all the money in youraccount (plus your maximum overdraft line of credit). Ifyou tell us within 2 business days after you learn of theloss or theft of your card and/or code, you can lose nomore than $50 if someone used your card and/or codewithout your permission. Also, if you do NOT tell us within2 business days after you learn of the loss or theft of yourcard and/or code, and we can prove we could havestopped someone from using your card and/or codewithout your permission if you had told us, you could loseas much as $500. Also, if your statement shows transfersthat you did not make, including those made by card, codeor other means, tell us at once. If you do not tell us within60 days after the statement was mailed to you, you maynot get back any money you lost after the 60 days if wecan prove that we could have stopped someone fromtaking the money if you had told us in time.

If a good reason (such as a long trip or a hospital stay)kept you from telling us, we will extend the time period.

Unless you have been grossly negligent or haveengaged in fraud, you will not be liable for anyunauthorized transactions using your lost or stolenVisa card. In Case of Errors or Questions About Your ElectronicTransfers, Call or Write us at the telephone number oraddress listed below, as soon as you can, if you think yourstatement or receipt is wrong or if you need moreinformation about a transfer listed on the statement orreceipt. We must hear from you no later than 60 days afterwe sent the FIRST statement on which the problem orerror appeared.

(1) Tell us your name and account number (if any).(2) Describe the error or the transfer you are unsure

about, and explain as clearly as you can why youbelieve it is an error or why you need moreinformation.

(3) Tell us the dollar amount of the suspected error.If you tell us orally, we may require that you send us

your complaint or question in writing within 10 businessdays.

We will determine whether an error occurred within 10business days (5 business days if involving a Visa®point-of-sale transaction processed by Visa or 20 businessdays if the transfer involved a new account) after we hearfrom you and will correct any error promptly. If we needmore time, however, we may take up to 45 days (90 daysif the transfer involved a new account, a point-of-saletransaction, or a foreign-initiated transfer) to investigateyour complaint or question. If we decide to do this, we willcredit your account within 10 business days (5 businessdays if involving a Visa point-of-sale transaction processedby Visa or 20 business days if the transfer involved a newaccount) for the amount you think is in error, so that youwill have the use of the money during the time it takes usto complete our investigation. What is a substitute check?

To make check processing faster, federal law permits banks to replace original checks with "substitute checks,"These checks are similar in size to original checks with a slightly reduced image of the front and back of the originalcheck. The front of a substitute check states; "This is a legal copy of your check. You can use it the same way youwould use the original check," You may use a substitute check as proof of payment just like the original check,

Some or all of the checks that you receive back from us may be substitute checks, This notice describes rights youhave when you receive substitute checks from us, The rights in this notice do not apply to original checks or toelectronic debits to your account. However, you have rights under other law with respect to those transactions,

What are my rights regarding substitute checks?

In certain cases, federal law provides a special procedure that allows you to request a refund for losses you sufferif a substitute check is posted to your account (for example, if you think that we withdrew the wrong amount fromyour account or that we withdrew money from your account more than once for the same check), The losses youmay attempt to recover under this procedure may include the amount that was withdrawn from your account andfees that were charged as a result of the withdrawal (for example, bounced check fees),

The amount of your refund under this procedure is limited to the amount of your loss or the amount of thesubstitute check, whichever is less. You also are entitled to interest on the amount of your refund if your account isan interest-bearing account. If your loss exceeds the amount of the substitute check, you may be able to recoveradditional amounts under other law.

If you use this procedure, you may receive up to $2500 » o o of your refund (plus interest if youraccount earns interest) within 10 business days after we received your claim and the remainder of yourrefund (plus interest if your account earns interest) not later than 45 calendar days after we receivedyour claim.
