Táto kúpna zmluva je v ďalšom texte označovaná iba ako „Zmluva“.

Predávajúci a kupujúci sú v ďalšom texte spoločne označovaní iba ako „Zmluvné strany“

Článok II

Predmet zmluvy

1. Predmetom tejto zmluvy je záväzok predávajúceho dodať odbornú literatúru, bližšie

špecifikovanú v Prílohe č. 1 tejto zmluvy (ďalej len „tovar“) a záväzok kupujúceho zaplatiť

za dodaný tovar cenu stanovenú v Čl. IV.

2. Predmet plnenia podľa tejto zmluvy je financovaný z prostriedkov Európskeho sociálneho

fondu v rámci Operačného programu Vzdelávanie – Prioritná os 1 Reforma systému

vzdelávania a odbornej prípravy, v rámci národného projektu „Vysoké školy ako motory

rozvoja vedomostnej spoločnosti“, ktorý bol schválený Ministerstvom školstva, vedy,

výskumu a športu Slovenskej republiky s kódom ITMS 26110230120 a štátneho rozpočtu.

3. Predmet zmluvy je podlimitnou zákazkou – knižničným fondom kupujúceho,

na nadobúdanie ktorého sa podľa § 3 písm. b) nevzťahuje zákon č. 25/2006 Z. z.

o verejnom obstarávaní a o zmene a doplnení niektorých zákonov v znení neskorších

predpisov.

Článok III

Čas dodania

1. Na základe tejto zmluvy sa predávajúci zaväzuje dodať tovar kupujúcemu v lehote

do 31.3.2015.

2. Kupujúci a predávajúci sa dohodli na možnosti postupného dodávania tovaru (v rámci času

dodania podľa bodu 1 tohto článku) a to v termínoch, ktoré si dohodnú v závislosti

od disponibility predmetu zmluvy u predávajúceho.

3. Predávajúci si vyhradzuje právo nedodať tituly, ktoré sú nedostupné na trhu v čase trvania

platnosti zmluvy.

Článok IV

Kúpna cena a jej splatnosť

1. Kúpna cena je dohodnutá v súlade so zák. č. 18/1996 Z.z. o cenách v znení neskorších

predpisov a vyhláškou MF SR č. 87/1996 Z.z. v znení neskorších predpisov, ktorou sa tento

zákon vykonáva a zmluvne dohodnutá cena je cena maximálna. Zmluvné strany sa dohodli,

že predávajúci nemá právo na akékoľvek zvýšenie dohodnutej ceny predmetu plnenia podľa

tejto zmluvy, a to ani písomným dodatkom k zmluve.

2. Kupujúci a predávajúci sa dohodli, že kúpna cena za tovar, ktorého dodanie je predmetom

tejto zmluvy, je 113 527,50 € bez DPH, DPH 11 352,75 EUR, cena spolu 124 880,25 €

vrátane DPH, slovom jednostodvadsaťštyritisíc osemstoosemdesiat eur, dvadsaťpäť centov.

Cena zahŕňa všetky náklady na súvisiace služby na balenie a dopravu do miesta dodania.

3. Zmluvné strany sa dohodli, že dodanie a prevzatie dodávky titulov môže byť uskutočnené

vo viacerých dodávkach, s vystavením viacerých dodacích listov a faktúr tak, ako budú

naskladňované predávajúcim.

4. Kupujúci neprevezme dodávku a neuhradí predávajúcemu kúpnu cenu v prípade nedodania

titulov do 31.3.2015.

Článok V

Platobné podmienky

1. Úhrada kúpnej ceny podľa čl. IV bude realizovaná formou bezhotovostného platobného

styku bez zálohovej platby.

2. Predávajúcemu vznikne právo na vystavenie faktúry dňom dodania tovaru a podpísania

dodacieho listu poverenými zástupcami oboch zmluvných strán. Dodací list bude tvoriť

neoddeliteľnú súčasť faktúry. Poverený zástupca kupujúceho pre prevzatie tovaru je: Ing.

Michal Kriššák , kontakt: 00421 905 011 674. Kupujúci preberie tovar do 3 pracovných dní

od zaslania výzvy o prebratí tovaru predávajúcim.

3. Splatnosť faktúry je najneskôr do 30 kalendárnych dní odo dňa jej doručenia do podateľne

kupujúceho.

4. Predávajúcim vystavená faktúra ako daňový doklad musí byť vyhotovená v súlade

s ustanoveniami zákona č. 222/2004 Z. z. o dani z pridanej hodnoty v znení neskorších

predpisov. V prípade, ak faktúra vystavená predávajúcim nebude obsahovať všetky zákonom

stanovené náležitosti alebo bude obsahovať nesprávne alebo neúplné údaje, kupujúci má

právo takúto faktúru vrátiť predávajúcemu na jej doplnenie, resp. opravu a predávajúci je

povinný podľa charakteru nedostatku vystaviť novú, opravenú, resp. doplnenú faktúru s

novou lehotou splatnosti.

5. Vlastnícke právo k predmetu zmluvy prechádza na kupujúceho dňom riadneho splnenia

záväzku, t.j. dňom podpísania dodacieho listu poverenými zástupcami oboch zmluvných

strán.

Článok VI

Miesto dodania

1. Predmet zmluvy bude dodaný na adresu: Lamačská cesta 8/A, 811 04 Bratislava.

Článok VII

Zodpovednosť za vady tovaru

1. Predávajúci sa zaväzuje, že dodá tovar v dohodnutom čase, v množstve, rozsahu, kvalite

a v prevedení podľa podmienok dohodnutých v Zmluve.

2. Predávajúci sa zaväzuje, že dodaný tovar bude po dobu uvedenú v bode 3 tohto článku

spôsobilý na obvyklý účel.

3. Záručná lehota na dodaný tovar je 24 mesiacov odo dňa jeho prevzatia na základe

dodacieho listu.

4. Predmet zmluvy, ktorý nezodpovedá zmluvne dohodnutým podmienkam, je predávajúci

povinný vymeniť čo najskôr od oznámenia jeho vady, podľa dostupnosti na trhu, ak sa

zmluvné strany nedohodnú inak.

5. Pri zodpovednosti za vady sa zmluvné strany budú riadiť ustanoveniami § 422 a nasl.

Obchodného zákonníka, ktoré upravujú nároky zo zodpovednosti za vady tovaru.

Článok VIII

Obaly a balenie

1. Predávajúci sa zaväzuje dodať kupujúcemu predmet zmluvy zabalený s odbornou

starostlivosťou tak, aby počas transportu nedošlo k jeho poškodeniu.

Článok IX

Osobitné ustanovenia o kontrole

1. Predávajúci je povinný strpieť výkon kontroly a poskytnúť súčinnosť pri výkone kontroly

orgánu oprávnenému vykonávať kontrolu podľa § 6 a § 10 zákona č. 528/2008 o pomoci a

podpore poskytovanej z fondov Európskeho spoločenstva v znení neskorších predpisov a

podľa článku 59 a nasl. nariadenia Rady (ES) 1083/2006 resp. subjektom a osobám

povereným oprávnenými orgánmi podľa § 6 a § 10 zákona č. 528/2008 a podľa článku 59 a

nasl. nariadenia Rady (ES) 1083/2006 na výkon kontroly.

2. Za strpenie výkonu kontroly a poskytnutie súčinnosti pri výkone kontroly neprináleží

predávajúcemu žiadna odmena, náhrada ani iné plnenie.

3. V prípade vzniku škody v dôsledku nestrpenia kontroly, neposkytnutia súčinnosti a

nedodania požadovaných podkladov zo strany predávajúceho, je povinný predávajúci túto

škodu nahradiť v plnej miere. Povinnosť strpieť kontrolu sa ustanovuje po dobu upravenú vo

všeobecne záväzných predpisoch pre implementáciu projektov zo štrukturálnych fondov EÚ

v programovom období 2007 do 2013 s možnosťou čerpania do konca roku 2015.

Čl. X

Záverečné ustanovenia

1. Túto zmluvu možno meniť a dopĺňať výlučne formou písomných dodatkov podpísaných

obidvomi zmluvnými stranami.

2. Táto zmluva sa v neupravených otázkach spravuje príslušnými právnymi predpismi

Slovenskej republiky.

3. V súlade s § 47a zákona č. 40/1964 Zb. Občianskeho zákonníka v znení neskorších

predpisov a zák. č. 211/2000 Z. z. o slobodnom prístupe k informáciám a o zmene a

doplnení niektorých zákonov (zákon o slobode informácií) v znení neskorších predpisov sa

táto zmluva zverejňuje v Centrálnom registri zmlúv. Zmluvné strany dávajú svoj výslovný a

neodvolateľný súhlas so zverejnení zmluvy, ako aj všetkých faktúr vystavených na základe

tejto zmluvy.

4. Táto zmluva nadobúda platnosť dňom jej podpisu zmluvnými stranami a účinnosť

nasledujúcim dňom jej zverejnenia v Centrálnom registri zmlúv.

5. Miestom pre doručovanie písomností vzťahujúcich sa k tejto zmluve, je adresa zmluvnej

strany, uvedená v záhlaví tejto zmluvy, alebo iná písomne druhej zmluvnej strane oznámená

adresa na doručovanie. V prípade, ak nemožno písomnosť takto doručiť, považuje sa za

doručenú tretím pracovným dňom po jej odoslaní doporučene na uvedenú adresu zmluvnej

strany.

6. Zmluvné strany vyhlasujú, že si zmluvu pred jej podpísaním prečítali, že táto bola

uzavretá na základe ich slobodnej vôle, vážne, zrozumiteľne a nie za nápadne nevýhodných

podmienok ani pod nátlakom.

7. Zmluva je vyhotovená v 4 rovnopisoch, pričom každá zo zmluvných strán obdrží dva

rovnopisy.
