1. PRINCIPES DE CONSOLIDATION
1.1 Généralités
Les états financiers présentés ci-après comprennent les comptes de BLOM BANK FRANCE et de ses filiales :
- BLOM BANK (SWITZERLAND) (Suisse)- La société « SC LOTUS SERVICES AND TRADING SRL » (Roumanie).
Toutes deux, sous contrôle exclusif, ont été consolidées par intégration globale, du fait que leur activité se situe dans leprolongement des activités bancaires ou financières ou relève d’activités connexes au sens de l’article L.311-2 du codemonétaire et financier, même si, comme c’est le cas pour la société de services « LOTUS SERVICES », les comptesindividuels de ces entreprises sont structurés de manière différente de ceux des autres entreprises incluses dans lepérimètre de consolidation, parce qu’elles appartiennent à des secteurs d’activité différents tels, notamment, l’assurance,les sociétés foncières et de promotion immobilière ou de services informatiques.
Les états financiers de ces deux sociétés ont été établis d’après les règles comptables locales, les retraitements etreclassements nécessaires ont été effectués afin de les rendre conformes aux principes énoncés dans le Règlement 91-01modifié du Comité de la Réglementation Bancaire et 99-07 du Comité de la Réglementation Comptable et aux règlesgénéralement admises par la profession bancaire française et internationale.
Toute participation de BLOM BANK FRANCE dans une société dont l'activité ne constitue pas un prolongement de celle dela Banque n’est pas consolidée si celle-ci ne fait pas partie des critères de consolidation définis par le CRC 99-07.
Il est à noter, par ailleurs, que les comptes du groupe BLOM BANK FRANCE sont intégrés dans les comptes de la maisonmère, BLOM BANK, suivant la méthode de l’intégration globale.
1.2 Méthodes de consolidation
C'est la méthode de l'intégration globale qui a été utilisée pour l'établissement des états financiers, BLOM BANK FRANCEcontrôlant à plus de 50% BLOM BANK SWITZERLAND (Suisse) et SC LOTUS SERVICES.
La méthode de l'intégration globale consiste à substituer à la valeur des titres en portefeuille dans les livres de la sociétémère chacun des éléments de l'actif et du passif de la filiale, puis à éliminer toutes les opérations réciproques entre lasociété mère et la afiliale. La part des intérêts minoritaires dans la situation nette et dans le résultat est inscrite distincte-ment au bilan et au compte de résultat consolidé.

1.3 Écart d’acquisition
L’écart d’acquisition résultant de l'écart positif dégagé entre le prix de revient des titres et la part de l'actif net comptablequi leur correspondait à la date d'acquisition des titres Blom Bank Switzerland s’élevait à l’origine à EUR 2 743 581 et a étéamorti linéairement sur vingt ans.Il est entièrement amorti.
2. PRINCIPES COMPTABLES ET METHODES D'EVALUATION
2.1 Généralités
Comme énoncé ci-dessus, les états financiers sont élaborés et présentés suivant les prescriptions des règlements CRB 91-01 modifié et CRC 99-07 et aux dispositions relatives aux états publiables (Règlement N°2000-04). Les règles appliquéespour l'établissement du Bilan et du Compte de Résultat suivent les normes comptables de la profession bancaire en France.Ces comptes ont été arrêtés dans le respect des règles de prudence, de la permanence des méthodes d'évaluation et de lacontinuité de l'exploitation.
2.2 Principe de séparation des exercices
Les charges et les produits sont, d'une manière générale, enregistrés selon le principe de la spécialisation des exercices, àl'exception de certaines commissions retenues à leur encaissement. Il s'agit en particulier de certaines commissions sur lescrédits documentaires et également de commissions sur les dépôts fiduciaires.
2.3 Conversion des états financiers établis en devises
Lorsqu’ils sont exprimés en devises, le bilan et le hors bilan des sociétés consolidées sont convertis sur la base des coursde change officiels à la date de clôture.
Les postes du compte de résultat sont convertis sur la base du cours de change moyen de l’exercice.La différence de valorisation des résultats de l’exercice entre le cours moyen et le cours de clôture est portée dans lescapitaux propres dans la rubrique « Ecarts de conversion ».
La différence de conversion sur le capital, les réserves, le report à nouveau et le résultat qui résulte de l’évolution des coursde change est également portée dans la rubrique « Ecarts de conversion » des réserves consolidées.
Ainsi, les écarts relatifs à la conversion des dotations en capital ne sont pas compris dans les résultats mais sont portésparmi les réserves.

Lorsque la réglementation locale impose de comptabiliser en résultat les écarts de change relatifs aux dotations en capitalou ceux relatifs à d’autres positions de change structurelles, un retraitement est opéré pour neutraliser l’effet en résultat.Ce retraitement est opéré par l’imputation d’un écart de conversion rattaché aux dotations en capital pour les positionsstructurelles liées à l’allocation en fonds propres des succursales et rattaché aux comptes de régularisation pour les autrespositions de change structurelles.
Ces écarts de conversion sur les positions de change dites structurelles, lorsqu’ils sont défavorables, doivent faire l’objetd’un provisionnement lorsque la dépréciation peut être considérée comme irréversible et la perte en résultant commedéfinitive.
2.4 Opérations sur devises
Les positions de change sont évaluées au minimum mensuellement au cours officiel de fin de période; les profits et lespertes qui en découlent sont enregistrés dans les résultats. Les résultats des opérations de change d'arbitrage comptantcontre terme sont enregistrés au prorata temporis.
2.5 Réglementation locale
Pour répondre à des contraintes réglementaires locales, les succursales des Emirats Arabes Unis (E.A.U) doivent constituerune réserve légale par appropriation de 10% du résultat lors de chaque exercice, soit 2 577 404 AED (485 milliers EUR) autitre de l’exercice 2009.
En outre, sur demande de la banque centrale des E.A.U, une réserve correspondant à 2% des crédits productifs doit êtremaintenue dans les comptes de la succursale. Cette réserve est également constituée par appropriation du résultat. La partdu résultat approprié au titre de l’exercice 2009 est de - 2 383 AED (moins de mille EUR) et le montant total de cette réserveatteint 12 435 519 AED (2 350 milliers EUR).
Dans les comptes sociaux et consolidés de BLOM BANK FRANCE, l’intégralité du résultat est appréhendée. Une dotation encapital est comptabilisée lors de l’approbation des comptes pour répondre à la réglementation locale.
2.6 Impayés, créances douteuses et provisions
Les créances impayées depuis moins de trois mois restent classées à leur poste d'origine. Les créances de toute natureprésentant un risque de non recouvrement total ou partiel ou présentant un caractère contentieux sont transférées enCréances Douteuses et Litigieuses et sont ajoutées aux "Comptes Ordinaires Débiteurs", l'ensemble figurant au Bilan souscette dernière dénomination.

Ces créances font l'objet de dotations aux provisions, par le débit du compte de résultat en tenant compte des fluxprévisionnels futurs. Les intérêts qui continuent à être comptabilisés sur ces créances sont provisionnés en totalité.Toutes ces provisions sont déduites des créances à l'actif.
Vous trouverez dans les notes sur le bilan le montant des encours et des provisions.La présentation des encours douteux est effectuée en application du règlement CRC 2002-03, modifié par le règlement2005-03 du Comité de la Réglementation Comptable, relatif au traitement comptable du risque de crédit.BLOM BANK FRANCE ne recense aucun crédit restructuré à des conditions hors marché.
Les provisions sont déterminées au cas par cas, en tenant compte pour l'évaluation du risque de la qualité du débiteur ainsique, notamment pour les crédits immobiliers, de l'estimation prudente des différentes garanties détenues (actifsimmobiliers, etc.), des dépôts nantis en garantie et de la volonté de la banque de poursuivre à leur terme les opérationsen cours de sa clientèle afin de préserver au mieux les intérêts de la banque.
Les risques pays (de faible importance) sont provisionnés suivant les taux généralement pratiqués par la professionbancaire dans les différentes places (France et Suisse).
2.7 Portefeuille titres
Conformément au règlement CRB 90-01, modifié par les règlements CRB 95-04, CRC 2000-02, CRC 2002-01 et CRC2005-01.
Les titres sont classifiés en fonction de :- leur nature : effets publics (bons du Trésor et titres assimilés), obligations et autres titres à revenu fixe (titres de créancesnégociables et titres du marché interbancaire), actions et autres titres à revenu variable- leur portefeuille de destination : transaction, placement, investissement, correspondant à l’objet économique de leurdétention. Pour chaque catégorie de portefeuille, ils sont soumis à des règles d’évaluation similaires qui sont lessuivantes :
Titres de transaction :
Ce sont les titres négociables sur un marché actif qui sont acquis dans une intention de revente à court terme. Ils fontl’objet d’une évaluation sur la base de leur valeur de marché à la date de clôture de l’exercice. Le solde des gains et perteslatents ainsi constaté, de même que le solde des gains et pertes réalisés sur cession des titres est porté au compte derésultat net des opérations financières. Les coupons encaissés sur les titres à revenu fixe du portefeuille de transactionsont classés dans le compte de résultat au sein de la rubrique Résultats nets d’intérêts relatifs aux obligations et autrestitres à revenu fixe.

Titres de placement :
Sont considérés comme des titres de placement les titres qui ne sont inscrits ni parmi les titres de transaction, niparmi les titres d’investissement.
Actions et autres titres à revenu variable :Les actions sont inscrites au bilan à leur coût d’achat hors frais d’acquisition ou à leur valeur d’apport. A la clôturede l’exercice, elles sont évaluées par rapport à leur valeur probable de négociation. Dans le cas des titres cotés,celle-ci est déterminée en fonction du cours de bourse le plus récent. Seules les moins-values latentes sontcomptabilisées par l’inscription d’une provision pour dépréciation du portefeuille titres. Les revenus de dividendesattachés aux actions de placement sont portés au compte de résultat dans la rubrique Revenus des titres à revenuvariable.
Obligations et autres titres à revenu fixe :Ces titres sont inscrits au bilan à leur prix d’acquisition hors frais d’acquisition et, concernant les obligations, horsintérêts courus non échus à la date d’acquisition. Les différences entre les prix d’acquisition et les valeurs deremboursement (primes si elles sont positives, décotes si elles sont négatives) sont enregistrées au compte derésultat sur la durée de vie des titres concernés. Les intérêts courus à percevoir attachés aux obligations et autrestitres à revenu fixe de placement sont portés dans un compte de créances rattachées en contrepartie de la rubriqueProduits d’intérêts relatifs aux obligations et autres titres à revenu fixe du compte de résultat.
A la clôture de l’exercice, les titres sont estimés sur la base de leur valeur probable de négociation et, dans le casdes titres cotés, des cours de bourse les plus récents. Les plus-values latentes ne sont pas comptabilisées et lesmoins-values latentes donnent lieu à la constitution d’une provision pour dépréciation du portefeuille titres, dontle calcul tient compte des gains provenant des éventuelles opérations de couverture effectuées.
Titres d’investissement :Il s’agit de titres à revenu fixe que l’on a l’intention de détenir de façon durable et pour lesquels on dispose demoyens permettant :
- soit de se protéger de façon permanente contre une dépréciation des titres due aux variations de taux d’intérêtau moyen d’une couverture par des instruments financiers à terme de taux d’intérêt,- soit de conserver effectivement les titres durablement par l’obtention de ressources, incluant les fonds propresdisponibles, globalement adossées et affectées au financement de ces titres.
Les titres d’investissement sont comptabilisés de manière identique aux titres de placement. Toutefois, à la clôturede l’exercice, les moins-values latentes ne donnent pas lieu à la constitution d’une provision pour dépréciation duportefeuille titres, sauf s’il existe une forte probabilité de cession des titres à court terme, ou s’il existe des risquesde défaillance de l’émetteur des titres.

2. PRINCIPES COMPTABLES ET METHODES D'EVALUATION
Titres de l’activité de portefeuille :Il s’agit d’investissements réalisés avec pour seul objectif d’en retirer un gain en capital à moyen terme sans intentiond’investir durablement dans le développement de l’entreprise émettrice, ni de participer activement à sa gestion. Ces titressont inscrits au bilan au plus bas de leur coût historique ou de leur valeur d’utilité (cette dernière étant déterminée en tenantcompte des perspectives générales d’évolution de l’émetteur et de la durée résiduelle de détention). La valeur d’utilité destitres cotés est principalement déterminée par référence au cours de bourse sur une période suffisamment longue. Les plus-values latentes ne sont pas comptabilisées et les moins-values latentes donnent lieu à la constitution d’une provision pourdépréciation du portefeuille titres.
Titres de participation, parts dans les entreprises liées et autres titres détenus à long terme :Il s’agit d’une partA: des Titres de participation et parts dans les entreprises liées dont la possession durable est estimée utile à l’activité del’entreprise, et notamment ceux répondant aux critères suivants:- titres de sociétés ayant des administrateurs ou des dirigeants communs avec la société détentrice, dans des conditions quipermettent l’exercice d’une influence sur l’entreprise dont les titres sont détenus- titres de sociétés appartenant à un même groupe contrôlé par des personnes physiques ou morales exerçant un contrôlesur l’ensemble et faisant prévaloir une unité de décision- titres représentant plus de 10 % des droits dans le capital émis par un établissement de crédit ou par une société dontl’activité se situe dans le prolongement de celle du Groupe.
Il s’agit d’autre partB: des Autres titres détenus à long terme, constitués par les investissements réalisés sous forme de titres par l’entreprisedans l’intention de favoriser le développement de relations professionnelles durables en créant un lien privilégié avec l’en-treprise émettrice, sans toutefois exercer une influence dans sa gestion en raison du faible pourcentage des droits de votequ’ils représentent.
Les titres de participation, parts dans les entreprises liées et autres titres détenus à long terme sont comptabilisés à leurcoût d’achat hors frais d’acquisition. Les revenus de dividendes attachés à ces titres sont portés au compte de résultat dansla rubrique Revenus des titres à revenu variable.
À la clôture de l’exercice, les titres de participation et parts dans les entreprises liées sont évalués à leur valeur d’utilitéreprésentative du prix que la société accepterait de décaisser pour obtenir ces titres si elle avait à les acquérir compte tenude son objectif de détention. Cette valeur est estimée par référence à différents critères tels que les capitaux propres, larentabilité, les cours moyens de bourse, sur une période suffisamment longue; les plus-values latentes ne sont pas compt-abilisées et les moins-values latentes donnent lieu à la constitution d’une provision pour dépréciation du portefeuille titres.

2.8 Immobilisations
Les immobilisations sont enregistrées à leur prix d'acquisition et sont amorties en fonction de leur durée de vie estimée,selon le mode linéaire. Le fond commercial est également amorti sur une base linéaire ne dépassant pas cinq ans. Dans lecas où la dépréciation s'avérerait supérieure aux amortissements pratiqués, la correction de l'actif immobilisé serait con-statée par une provision.
Les durées d'amortissement constatées dans le groupe sont les suivantes :- pour l’immobilier construit, entre 35 et 45 ans.- pour le mobilier, entre 8 et 10 ans.- pour les machines de bureaux et le matériel informatique, entre 5 et 8 ans.- pour le matériel divers, en 5 ou 10 ans.- pour les agencements et installations, en 10 ans (ou 5 ans pour les éléments légers).- pour les logiciels, entre 3 et 5 ans.
2.9 Impôt sur les bénéfices
Il est comptabilisé un impôt différé lorsqu'il est constaté des différences temporaires nées de décalages d'exercice entrela constatation comptable d'un produit ou d'une charge et leur prise en compte pour le résultat fiscal. L'impôt différécomprend aussi les déficits fiscaux reportables lorsque leur imputation sur les résultats futurs apparaît probable.En cas de changement de taux d'impôt, les impositions différées sont ajustées au nouveau taux en vigueur sur l'exercice oùle changement est connu et l'ajustement imputé en compte de résultat.Par contre, il n'est pas constaté d'impôt de distribution sur les dividendes lorsque la décision de distribution n'est pasencore connue à la clôture de l'exercice.
2.10 Engagements vis-à-vis du personnel
Des indemnités de fin de carrière prévues par les Conventions collectives ou contractuelles ont été comptabilisées enfonction des droits acquis au 31 décembre de chaque année.
2.11 Fonds pour risques bancaires généraux (F.R.B.G.)
Ces fonds sont les montants que les dirigeants décident d'affecter à la couverture de tels risques lorsque des raisons deprudence l'imposent eu égard aux risques inhérents aux opérations bancaires. Ces fonds ne sont pas constitués en vue defaire face à des charges ou risques qui ont un caractère probable et qui ont été clairement identifiés. Ils ne répondent doncpas aux critères d'une provision pour risques, ni à ceux d’une véritable réserve, étant dotés et repris par le débit ou créditdu compte de résultat et non, comme pour les réserves, par l’affectation des résultats sur décision de l’assemblée générale.Les provisions excédentaires ayant un caractère de réserve constituées par les filiales étrangères sont reclassées en "Fondspour Risques Bancaires Généraux" dès lors que les dispositions comptables en vigueur dans le pays d'accueil de la filialene prévoient pas l'existence d'un tel poste. Dans ce cas, si cela est nécessaire, un impôt différé est calculé, et vientdiminuer le résultat de l'exercice. Le FRBG comme la dotation (ou reprise) nette de l'exercice apparaissent sur une ligneséparée du bilan et du compte de résultat.

Le financement d’opérations commerciales par le biais de lettres de crédit reste le domaine privilégié et majoritaire de notre politiquede crédit. En terme de liquidité, les engagements vis-à-vis de la clientèle ne représentent que 38% des dépôts de la clientèle (et 34%de l’ensemble des dépôts). Introduction
The burst of speculative real-estate and financial bubbles in 2008 along with the global economic crisis resulted in a perilous anddifficult year 2009. The combined actions of governments and central banks to stop the collapse of several major financialinstitutions and the shrinking of liquidity have been important to contain the risk of a fall down of the entire financial system.However, the financial crisis turned into an economic crisis that intensified around the world, triggering recessions with risingunemployment as well as a slow-down of global trade and financial flows. Consequently, gross domestic product of most developedcountries fell by over 4 % in 2009.
The crisis receded at the end of the third quarter of 2009 with major economies witnessing the dawn of a recovery and starting tohope that the crisis could be of a lesser scope than anticipated by the end of 2008.The fact remains that the hypothesis of a rapid recovery is unlikely, due to the profound adjustments in behavior caused by the crisis.
The banking sector was unanimously pointed out as the trigger of the turmoil, thus undergoing pressures to overhaul the financialsystem. A consensus, at least in principle, seems to be emerging to regulate tax havens and the salaries of traders and to launchthe reform of major international organizations.
In this gloomy environment, BLOM BANK FRANCE was able to test its business model and the strength of its credit portfolio againstthe global economic crisis and several sectors that were severely affected by the turmoil such as:
• The real-estate crisis of Dubai and the Emirate’s liquidity hurdles.• The collapse of the real-estate market in Romania.• The problems in the shipping market.
During this period, BLOM BANK FRANCE has proven that its reputation of being a solid and cautious institution was well deserved.Posting remarkable prudential ratios, our institution was able to navigate safely through the crisis, despite the particularly perilousenvironment, thanks to its proactive strategy in terms of risk control and customer follow-up.
The staggering drop in interest rates in 2009 (average USD and Euro rates have been divided by four in 2009 compared to 2008)threatened to hurt our profitability due to our high level of liquidity. But again, our reactive policy has limited the shortfall by defininga minimal return on our credit portfolio and our refusal to follow our competitors (often illiquid) by over remunerating customerdeposits.
Moreover, the performance of our institution in 2009 was very satisfying in this difficult environment, with sizeable and stillincreasing prudential ratios and steady balance sheet figures maintained at remarkable levels despite a limited decline.

Our consolidated balance sheet displayed a total of EUR 1,510 million against EUR 1,485 million at end 2008.
Customer loans remained stable and totalled EUR 438 million against 431 million at end 2008.
Customer deposits stood at EUR 1,147 million, up 4 % compared to 2008 (1,102 million).Net revenue fell slightly to 39.4 million Euros (-5.4 %).
Overhead costs (general costs, staff costs, taxes etc.) increased to EUR 20.67 million against EUR 19.85 million in 2008 (+4 %).
The gross operating income (after amortization but before taxes, provisions on debt and exceptional results) was EUR 18.74 millionagainst EUR 21.12 million in 2008 (-16 %).
The consolidated profit for the year amounted to EUR 14,254,552.55 compared to 16,686,430.12 EUR in 2008.
By the end of 2009, consolidated equity reached EUR 223.8 million, following the integration of the year’s profits and before anyallocation.
Once again, our parent company, BLOM BANK SAL, which currently holds more than 99% of our shares, displayed solid results.Consolidated figures reached record levels: total assets and client deposits are on the rise. BLOM BANK SAL even expanded itsoutstanding customer loans without abandoning the usual liquidity caution that made its reputation. In addition, it recorded thehighest profitability among the ten biggest banks in Lebanon, both in absolute terms and according to the ROE criterion.
BLOM BANK SAL’s group, both in Syria with BANK of SYRIA and OVERSEAS and in Egypt with BLOM BANK EGYPT have continuedto grow, showing remarkable results.
The main consolidated financial highlights of our parent company BLOM BANK SAL on a consolidated basis for 2009 are as follows:
• Total assets have increased by 16 % from $ 17.8 billion in 2008 to $ 20.7 billion.• Customer deposits also increased (+19 %) from $ 15.1 billion in 2008 to $ 17.9 billion at end 2009.• Net profits reached USD 293 million (increasing by 17%)
We remain very cautious about future economic prospects during 2010. The slight upturn in late 2009 might be only temporary andmore adverse effects of the crisis are anticipated.We expect a slight decline in our balance sheet figures in 2010. An increase in interest rates, as limited as it might be, would havean indirect impact on our profitability through an increase in interest income remunerating our substantial cash surpluses. In theabsence of such a rise, we expect a stability in our results. In any event, caution will continue to guide our choices.

Annex1. PRINCIPLES OF CONSOLIDATION
1. PRINCIPLES OF CONSOLIDATION
1.1 General
The consolidated financial statement presented hereunder includes the accounts of:
- BLOM BANK (SWITZERLAND) - “SC LOTUS SERVICES AND TRADING SRL” (Romania)
Both companies are under exclusive control and have been consolidated using the full consolidation method as their activities arean extension of banking, financing or related activities as fixed by the article L.311-2 of the monetary and financial code, even when,like in the case of the service company “LOTUS SERVICES”, the individual accounts are structured differently than those of the othercompanies included in the consolidation, because they belong to different sectors such as insurance, real estate or computer sci-ence and service.
The financial statements of these two companies have been prepared accordingly to the local accounting regulations, including theadjustments and reclassifications necessary to comply with the standards of the modified Regulation 91-01 of the « BanksRegulation Committee », and with the regulation 99-07 of the « Accounting Regulation Committee », as well as with the rules gen-erally adopted by the French and international banking industry.
The investments of BLOM BANK FRANCE in companies, the activity of which cannot be considered as an extension of the Bank’sactivity, are not consolidated if they do not match with the consolidated criteria specified by the CRC 99-07.
BLOM BANK FRANCE Group accounts are consolidated in the accounts of its parent company BLOM BANK S.A.L. (Lebanon) usingthe full consolidation method.
1.2 Consolidation method
The global consolidation method has been adopted to prepare the consolidated financial statements, as BLOM BANK FRANCE holdsmore than 50 % of BLOM BANK SWITZERLAND capital and SC LOTUS SERVICES.

The global consolidation method consists in replacing the value of the securities on hand by each of the elements of the assetsand liabilities of the subsidiary, then eliminating all reciprocal operations between the parent company and the subsidiary.
The share of minority interest in the equity and the results of operations are shown separately in the consolidated balance sheetand consolidated in the income statements.
1.3 Goodwill
The original amount of the goodwill EUR 2 743 581, being the positive difference between the acquisition value of the shares ofBLOM BANK SWITZERLAND and the net book value of these shares at their acquisition date, has been entirely amortized on a 20year straight line basis.
The goodwill is fully amortized.
2. ACCOUNTING RULES AND EVALUATION METHODS
2.1 General
As stated above, the financial statements are prepared and presented in accordance with the regulation CRB 91-01 (BankingRegulation Committee) modified, the CRC 99-07 (Accounting Regulation Committee) and the 2000-04 CRC regulations. The rules tobe followed for the preparation of the balance sheet and the income statement are in accordance with the accounting standardsof the banking industry in France. These accounts were prepared in conformity with the conservatism and consistency conceptsand the continuity of the evaluation method.
2.2 Accrual basis of accounting
The expenses and revenues are usually recorded using the « accrual basis of accounting ». The « Cash Basis » is used in fewexceptional cases, such as documentary credits and fiduciary deposit commission transactions.

2.3 Foreign currency translation
The financial statements recorded in the local currency of the consolidated company have been translated into Euros at the officialyear end closing rate for the balance sheet, and at an average year rate for the income statement.The exchange difference resulting from the translated net worth at closing, as compared to its historical value, is posted into aseparate account under net worth, labelled «Currency Translation Profit », and is added or deducted from the consolidated reservesin the balance sheet.
Therefore, the difference resulting from the translated net worth at closing as compared to its historical value is not accounted forin P&L statement but posted into separate account among reserves under net worth.
Whenever local regulation requires the accounting as a revenue or loss of any exchange difference resulting from the translatednet worth or from any other structural position, a reprocessing is carried out in order to neutralize the impact on P & L. Thisreprocessing consists in earmarking the exchange difference resulting from the translated net worth or any other structural position,within regularization accounts related to capital allocation of branches. Said exchange difference resulting from structural position,if unfavourable and entailing an irreversible and final loss, is subject to a provision allowance.
2.4 Foreign currency transactions
Foreign currency positions are valued on a monthly basis at the closing official rate of the period; the resulting profits andlosses, are accrued. The results of the « SWAP » transactions (spot against forward) are recorded pro rata temporis.
2.5 Local rules
In order to comply with the local regulations, the United Arab Emirates branches are requested to create a legal reserve amountingto 10 % of the net profit of each year. The appropriation of the net profit amount for 2009 is AED 2 577 404 (485 thousand EUR).Moreover, in accordance with the UAE Central Bank request, a general reserve representing 2 % of the unclassified loan portfoliohas to be maintained in the branches local accounts, this reserve is also created as an appropriation of the net profit. Theappropriation of the net profit amount for 2009 is AED 2 383 (less than one thousand EUR), and the global amount of this reservereaches as at December 2009 AED 12 435 519 (2 350 thousand EUR)
In the statutory and consolidated accounts of BLOM BANK FRANCE, the whole net profit is retained. A capital allocation isaccounted at the date of the approval of the accounts as required by the local rules.

2.6 Unpaid loans, doubtful debts and provisions
The loans unpaid for a period not exceeding three months remain in their original accounts. However, all kind of loans presenting apartial or total risk of non recovery, or presenting a contentious aspect, are transferred to « bad debts and claims » and are addedto « Customers overdrafts ». In such cases, provisions are set up by a debit in the profit and loss account. If interests on such loans continue to be accrued, theseinterests will have a 100 % provision. All these provisions are deducted from the loans value in the balance sheet.
The outstanding of the doubtful and the provisions will be found in the notes on the balance sheet.The doubtful outstanding presentation is made in accordance with the regulation CRC 2002-03, modified by the regulation 2005-03,of the Accounting Regulation Committee concerning the presentation of incurred credit risk.There is no out of market condition restructured loans in BLOM BANK FRANCE books.
Provisions are computed on a case by case basis taking into consideration the quality of the debtor customer to evaluate the riskand, in case of a real estate loan, a conservative estimation of the various securities held (such as real estate assets, etc...), thedeposits blocked in guarantee and the decision of the bank to follow up the transactions until their final stage in order to better pre-serve its interest.
Provisions on exposure to country risks (small importance) are computed accordingly to the rate usually practised by the bankingprofession in each country (France and Switzerland)
2.7 Securities Portfolio
In accordance with the CRB 90-01 regulation, modified by the CRC 95-04, CRC 2000-02, CRC 2002-01 and the CRC 2005-01.
The securities are classified according to-Their nature: government securities (Treasury bonds and assimilated securities), bonds (obligations) and the other fixed-incomesecurities (negotiable debt securities and interbank market securities), shares and the other variable-income securities- Their portfolio of destination: trading, held for sale, investment, corresponding to the economic object of their detention. Forevery category of portfolio, they are subjected to similar rules of evaluation which are the following:
Trading Securities
They are negotiable stocks on a liquid market that are acquired with the intention of reselling (or repurchasing) in the short term.They are subject to an evaluation on the basis of their market value in the closing date of the exercise. The balance of the latentearnings and losses thus noticed, as well as the balance of the earnings and losses realized on the transfer of the securities, is car-ried at the expense of net income of the financial operations. The coupons collected on the fixed-income securities of the portfolioof transactions are classified in the earnings report (profit and loss account) within the column Net income of interests relative tothe bonds and the other fixed-income securities.

Securities held for sale
Are considered as securities held for sale the securities that are not listed, neither in the trading securities, nor in the investmentsecurities.
Shares and the other variable-income securitiesThe shares are registered on the balance sheet at their acquisition price or at their value of contribution. At the closing of the period, theyare estimated with regard to their likely value of negotiation. In the case of listed securities, the latter is determined accordingly to themost recent stock quotes. Only the latent depreciations are booked by the registration of a provision for depreciation of the portfoliosecurities. The incomes of dividends attached to the shares of investment are carried in the profit and loss accounts in the column Incomesof variable-income securities.
Bonds (Obligations) and the other fixed-income securitiesThese securities are registered on the balance sheet at their price of acquisition except acquisition costs and, concerning thebonds, except accrued interests at the date of acquisition. The differences between the prices of acquisition and theredemption price are amortised (or entered as income), as appropriate, over the remaining life of the securities. The accruedinterests to collect and the other fixed-income securities of investment are carried in the column Products of interests relativeto the bonds (obligations) and the other fixed-income securities of the profit and loss account.
At the closing of the period, the securities are estimated on the basis of their likely value of negotiation and, in the case oflisted securities, the most recent stock quotes. The latent surplus is not booked and the latent depreciations give place to theconstitution of a provision for depreciation of the portfolio securities, the calculation of which takes into account earningsresulting from possible hedging operations.
Investment Securities
Fixed-income securities with a fixed redemption price shall be regarded as investment securities when they have been acquired with theintention of holding them on a long-term basis, in principle until maturity. Institutions which record securities as investment securities musthave sufficient resources to enable them:
- Either to protect themselves in a permanent way against a depreciation of the securities due to the variations of interest rate by meansof a coverage by forward and options contracts of interest rate,
- Or to hold effectively the securities durably by the obtaining of resources, including the available stockholders’ equity, globally matchedand earmarked for the financing of these securities.
The investment securities are booked in an identical way in securities held for sale. However, in the closing of the period, the latentdepreciations do not give place to the constitution of a reserve for depreciation of the portfolio securities, except if there is a strongprobability of transfer of the short-term securities, or if there are risks of default of the issuer of the securities.

2. ACCOUNTING RULES AND EVALUATION METHODS
Securities of the activity of portfolio
These are investments realized with the only purpose to get some earning from them in medium-term capital, with no intention to investdurably in the development of the issuing company, nor to participate actively in its management. These securities are registered on thebalance sheet at their lower historical cost value or their utility value (this one being determined by taking into account general perspectivesof evolution of the issuer and the residual duration of detention). The value of utility of listed securities is mainly determined in referenceto stock quotes over a long period. The latent surplus is not booked and the latent depreciation gives place to the constitution of a provisionfor depreciation of the portfolio securities.
Equity securities, shares in the bound companies and other securities held in the long run
These are on the one hand: A- Equity securities and shares in the connected companies for which the durable ownership is considered useful to the activity of the company, particularly those answering the following criteria:
Securities of companies having common directors or managers with the company holder, in conditions which would allow toexercising an influence on the issuer.
Securities of companies belonging to the same group controlled by physical or moral persons exercising a control over the wholeand taking advantage of a unity of decision.
Securities representing more than 10 % of the rights in the capital issued by a credit institution or by a company, the activity ofwhich stands in the continuation of that of the Group.
And on the other hand:B- other securities held on the long run, composed of the investments realized in securities form by the company in order to favourthe development of long lasting professional relations by creating a privileged link with the issuer company, without howeverexercising any influence in its management because of the weak percentage of the rights to vote they represent.
Equity securities, shares in the bound companies and the other securities held in the long run are booked at their cost of purchaseexcept acquisition costs. The incomes of dividends attached to these securities are registered in the profit and loss account in thecolumn Incomes of variable-income securities.
At the closing of the period, equity securities and shares in the bound companies are estimated at their utility value representativeof the price the company would agree to pay out to obtain these securities if it had to acquire them considering its objective ofdetention. This value is estimated in reference to various criteria such as stockholders’ equities(own capital), profitability, averagerates of stock exchange over a long enough period; the latent surplus are not booked and the latent depreciations give place to theconstitution of a provision for depreciation of the portfolio securities.

2.8 Fixed Assets
Fixed assets are recorded at their acquisition value and are depreciated accordingly to their estimated useful life on a linearbasis. Key money is amortised on a linear basis over a period not exceeding five years. In case the real depreciation amortisa-tion exceeds the applied amortisation, a correction is made by taking additional provisions.
The depreciation and amortisation periods applied by all our branches are as follows:- For built properties: between 35 and 45 years- For furniture, between 8 and 10 years- For office and computer equipments, between 5 and 8 years- For other equipment, 5 or 10 years- For leasehold improvement, 10 years (or 5 years for light installations)- For software, between 3 and 5 years
2.9 Deferred taxation
Deferred tax arises every time a temporary differential exists between the recording of a revenue or expense for accounting pur-pose and the recording of these for taxation purpose. Deferred tax includes also fiscal deficits of consolidated companies whentheir deduction out of future income seems to be a reasonable probability.If a change in the tax rate arises, deferred taxes are adjusted accordingly to the new rate prevailing during the accounting periodand this is reflected in the income statements. However, no tax is declared on dividends distributed when the decision todistribute such dividends is not yet known at the end of the financial year.
2.10 Staff benefits
An indemnity for employees, such as stipulated in the collective and contractual agreements, is accounted for as per vested rightsas at 31st December of each year.
2.11 Provisions for general banking risks
Provisions for general banking risks are the amounts that the management decides to allocate to cover such risks, where required by pruden-tial reasons in the light of the risks inherent in banking operations. These provisions should not be made to cover probable and clearly iden-tified expenses or risks. They are not a provision for risks and charges or a real reserve, because these provisions are constituted by the debitor the credit of the Profit and Loss accounts and not like the reserve by the appropriation of the profit by the shareholders assembly.The exceeding risks and charges provisions, having the reserve nature, constituted by the foreign affiliates, are reclassified in Provision forGeneral Banking Risks, when the affiliate accounting rules of the country do not plan such item. In this case a deferred taxation is comput-ed and reduces the result of the year.Provisions for general banking risks, as the charge (or the income) of the year, are notified on a specific line of the Balance sheet and theProfit and Loss Account.
