SCOPE OF WORK 1.0 Introduction:

Coal Handling Plant consists of 13 belt conveyors. Conveyors 1 to 3 and Wing tripper and Wagon Tippler form part of Unloading System and rest of the conveyors are meant for Bunkering Operation. Coal is received in open as well as covered wagons. Open wagons may be unloaded by Tippler, Poclain or manually on railway tracks in the coal yard. Covered wagons can be unloaded manually only. There are four coal-unloading tracks numbered 1 to 4. Rake/Empty wagons have to be released in demurrage free time prescribed by Railways. Approximately 5.90 lakh MT of coal is expected to be handled in a year. There are 4 high-pressure boilers having 15 coalbunkers. These bunkers are required to be filled in each shift depending on the number of boilers running.

Assistance in shifting of coal from the railway tracks, track cleaning and from any point of the coal yard etc by dozers. Contractor is required to supply sufficient trained manpower possessing valid license for dozer operation

Coal received from collieries contains stones and other foreign material in varying degree. It is extremely important to prevent such material going to reclaim hoppers and bunkers by deploying sufficient manpower in coal yard, running conveyors etc.

Parties willing to participate in Tender, may visit the site, to access the quantum of job, resources required, and for any further clarification, before submitting the bids.

2.0 Duration of contract:

Contract will be awarded initially for a period of one year. However, it can be extended subsequently, on satisfactory performance, at the discretion of NFL for a further period up to one year on the existing rates, terms and conditions. Contractor shall be bound to accept the same.

3.0 E.M.D. & Security Deposit:

Earnest Money Deposit of Rs. 1,00,000.00� %�������- �����#����!(�shall have to be deposited along with Tender, which will be converted into initial security deposit of the successful tenderer. For unsuccessful tenderers, this amount will be refunded after the contract is finalized. Tender without deposit of Earnest Money will not be accepted. No interest will be paid on Earnest Money. EMD must accompany in the form of Demand draft only, favoring NFL and payable at Panipat.

The contractor will have to deposit security deposit @ 10% of contract value, out of which 2.5% of contract value will be deposited within 10 days from the date of award of contract after adjustment of EMD of Rs. 1,00,000.00 as initial security deposit. Remaining 7.5% will be recovered from monthly running bills on the actual value of work done by him. DD will only be accepted as security deposit and no bank guarantee will be accepted. Security Deposit will be returned to the contractor after three months of satisfactory completion of the contract and on receipt of No Dues certificate from Production Department and clearance from P&A Dep’t. No interest is payable on such Deposit.

4.0 Job Description:

AA) Manual unloading of wagons:

a) Closed wagons rake unloading: Coal received in closed wagons i.e., BCN, BCX, CRT etc. is unloaded by manual means.

b) Open wagon rake unloading:

Coal received in open wagons rake i.e., BOX ‘C’ & BOX ‘N’ in unloaded by tippling as well by manual unloading. With constraints of time for unloading of rake and other unforeseen reasons, Total quantity of coal is not tippled and some or all wagons may have to be taken for manual unloading of coal from the open wagons. Decision of the engineer in charge for number of wagons to be placed for tippling & for manual unloading is final and binding on the contractor. For manual unloading of closed / open wagons, placement shall be possible in following manner:

Above is only indicative set up, actual placement may depend upon availability of tracks etc.

Contractor’s scope of responsibilities is expected to begin immediately after the placement of wagons as mentioned above. Contractor’s labour is supposed to open the doors and start emptying out the wagons expeditiously. Wagons having six doors/ four doors per wagon shall have to be unloaded. Track Nos. 2, 3 and 4 being close to the stock piling system shall be always cleared on top priority so that repeated placements on track nos. 2, 3 and 4 are possible. In this regard, track No.4 happens to be most critical and important one. Bunkering labours are not to be used for track cleaning. On completion of unloading the contractor’s workmen are expected to clear the track, free of coal up to 1.5’ from rail track on both sides so that empty wagons are withdrawn safely. Subsequent to the withdrawal of empty wagons, Contractor will arrange shifting of coal from the area around the tracks so that further placement of loaded wagons is done and unloading operations continued. Contractor is advised to quote the rates on the basis of per MT for open wagons as well as closed wagons as specified in the Schedule of Rates. After empting out the wagons, Contractor shall ensure that wagons are fully emptied out and thoroughly cleaned after final cleaning of such wagons & to close the doors of wagons before giving clearance for withdrawal is the total responsibility of the contractor

Once in a while, it is possible to receive wagons having doors riveted/bolted/welded. Contractor shall have to arrange for opening of the same by chiselling or gas cutting or any method deemed fit without any obligation on NFL. However, in case of covered wagons doors may be suitably opened with coordination of traffic deptt./railways to avoid delay. Doors should not be bend or damaged while opening riveted/ bolted/ welded ones, otherwise expenditure for repair/ replacement for such damaged door shall be recovered from contractor`s running bill as per clause 5(ii).

BB) Unloading of open wagons by tippling: Normally open wagons will be placed on track no.-2 for unloading by tippler. And will be tippled one by one for which, NFL shall provide Loco services. Contractor is expected to deploy adequate manpower so that accumulation of coal from the tippling hopper is cleared expeditiously. NFL may provide the JCB

machine in order to control tippling time .The JCB machine shall be operated by contractor’s manpower. Contractor is required to supply sufficient trained manpower possessing valid license for JCB operation. Since the requirement of labour, on tippling operation, shall be reduced from 10 to 6 with the deployment of JCB, no extra payment shall be made to the contractor, against supply of trained manpower for JCB operation. Oversize material shall have to be broken by using hammers or removal by JCB/manually from the gratings itself. Stones and boulders shall be sorted out and shifted outside the hopper. The rates for unloading by tippling shall be 1/3rd of that of the rates quoted for manual unloading. Tentatively 10 number of labourers are required on tippler hopper during wagon tippling operation for coal unloading The contractor will also be responsible for cleaning of chute, vibro feeder & tail end of Conveyor No.1 so that tippler operation is not hampered. Apart from this assistance in operation of belt 1, 2 & 3 during tippling/stack piling and for stone picking from bunker hoppers by deployment of sufficient labourers in all three shifts. The cleaning of coal unloading part i.e. Conveyor No. 1, 2 & 3 will be the responsibility of the Coal Unloading Contractor.

(Tentative manpower required for this activity shall be 16 labour/day.)

Contractor should deploy sufficient manpower for simultaneously unloading of rake by tippling and manual unloading of open rake. Within the available time for unloading of open wagon rake, contractor unloads a minimum of 26% of wagons by tippling & remaining by manual unloading. In case tippling is less than 26 %, Penalty shall be imposed on contractor for less tippling as per penalty Clause 5.0(v), however no penalty will be imposed if reasons for less tippling are due to NFL. In case unloading time exceeds, demurrage will be imposed on the contractor as per clause No.7.0 Contractor has to maintain track clean, if derailment occur due to jamming of coal on rake, penalty shall be imposed as per Cl- No. 5.0(iv).

CC) Stone picking from coal yard & shifting to specified area/ location

Priority is to be given to collect maximum no. of stones from the coal yard and tippling hopper area to avoid escape of stones on to the belt conveyors. The contractor has to mobilize adequate no. of labours along with tractor trolleys for picking, removal and shifting of above material. Stones are to be picked and shifted out from following locations.

1) Tippler Hopper conveyors. 2) Either side of conveyor No.2, 3 & 4. 3) Railway Tracks and coal yard 4) From conveyor belt BC-1 Contractor shall deploy at least two number of tractor-trolleys for collecting and shifting of stones daily from 8 AM to 7 PM.

Stones size more than 250 mm are to be segregated separately from stones of size less than 250 mm and disposed as under.

i) Stones size 250 mm and above from CCL and BCCL Rakes collected from various locations mentioned above and shifted to place allocated for M/s CCL and M/s. BCCL or as directed by Engineer In charge.

ii) Stones size Below 250 MM will be collected at various locations, from Coal unloading system and shifted to specified areas inside or outside the factory gate directly as directed by Engineer in Charge.

(iii) After inspection by M/s CCL and M/s. BCCL, inside the factory as mentioned above at “(i)” will again have to be shifted to another location inside or outside the factory or as directed by Engineer in

charge, to make space for coming months stone collection from coal rakes as directed by Engineer In charge inside or outside the factory.

(iv) Stone picking from coal yard & shifting of stones from the coal yard is an extremely critical activity in the smooth running of Boilers. Contractor should deploy sufficient number of labors and tractor trolleys to pick & shift the stones. In case stone picking & shifting found to be inadequate, job of stone picking & shifting will be done at the risk & cost of the contractor. A notice of 24 hours will be given to the contractor to operate this clause and penalty shall be imposed as per penalty clause No.5.0 (i). Stone picking may also have to be carried out in shifts as per the Engineer in charge.

Delay in removing stones/foreign material shall invite penalty as specified in 5.0

DD) Cleaning of coal unloading system:

Conveyor No.1, 2 & 3, Wagon Tippler, Manual Hopper, Paddle Feeder No.1, Vibro Feeders, Wing Tripper forms part of the coal unloading system. Coal spillages shall have to be removed from Conveyor No. 1, 2 & 3, Impact rollers, and toughing rollers, return rollers and same are to be maintained clean. Stone picking and removal of spillages from various junction towers, area under the conveyor galleries etc. shall have to be done on regular basis along with stone picking from coal yard. Sufficient number of labours have to be deployed on Conveyor 1,2 or vibrating feeder and Conveyor 3 during stack piling and unloading. Assistance has to be given for dewatering of the underground belts and coal yard.

EE) NFL -Dozer operation for coal shifting and Feeding etc:The contractor will have to provide assistance in shifting of coal from the railway tracks, track cleaning and from any point of the coal yard etc by dozers. Contractor is required to supply sufficient trained manpower possessing valid license for dozer operation.�Short loading of coal to Boilers has serious implications on whole of the plant. It can lead to total plant stoppage. Contractor is required to push sufficient material on BC-4 & BC-9 Hoppers for feeding to bunkers. For Non availability of material on BC-4 & BC-9 bunkers, which may cause the stoppage of the plant Dozer operation some time also required for making road clear for crane movement for maintenance purpose on CPP cooling tower, rejection yard /stone yard & clearing obstructions etc

Contractor should quote rate per operation. One operation constitutes one trained dozer operation for eight hour. Any damage to dozer or to the track, due to mal-operation by Contractor Operator, penalty will be imposed like as Penalties Clause 5.0 (ii).

In case NFL dozers are in operation for shifting feeding of coal, then a time of 1.5 hrs shall be given to the contractor for track cleaning after withdrawal of the empty wagons on each track.

FF) Coal sample collection & Preparation.In addition to unloading of coal from wagons, contractor is required to deploy a sufficient manpower per rake or part of, exclusively for collecting of coal samples as per IS436 (Part-1/ Sec-1)-1964. From each rake nearly 1750 Kg of coal sample to be collected in five lots of 350 Kg each and processed as per the IS-code. In case contractor operates less operation, payment to the contractor will be made on the basis of actual number of operations for collecting & preparation of coal sample. Approx. nos. of operations 1700.

Contractor should quote item rate no.8 in SOR for this work. For the purpose of item rate one person deployed for eight hour constitute one operation. Eight operation per rake are foreseen. Contractor has to deploy supervisor in each shift for coordination of all the above mentioned activities of scope of work.

GG) Operation of Poclain Machine.

NFL will provide poclain machine for assistance in mechanized unloading of coal from open rail wagons. Contractor will provide trained poclain operator along with helper on man-day basis as and when required for operation of NFL Poclain machine within one hour from receipt of coal rake. It is expected that around 10 open wagons/rake will be unloaded with the help of poclain machine. The contractor’s trained poclain operator is required to unload minimum 80% of the total coal from each open wagon with the help of poclain machine. The leftover 20 % of coal in the wagon will be unloaded either manually or through wagon tippler. The contractor will be paid the rate of manual unloading or of tippling as the case may be for the fixed quantity of 12MT coal for each wagon unloaded with poclain machine.

Item no. 6 in the SOR is to hire man power to operate Poclain. No. of operation will be 200 for one year by considering receipt of total coal 200/year (Both open and closed Types). Taking average time for unloading one coal rake about 8hrs with the help of Poclain.On the basis of this one operation will consist of one well trained Poclain operator and one helper.�

5.0 Penalties

�iv) In case derailment takes place as a result of jamming on rail tracks due to unloaded coal,

penalty shall be imposed Rs.500/- per derailment.

v) In case the percentage of tippling is less than 26% of total wagons in the rake due to deployment of less labour or other contractual reasons @ Rs.200/- per wagon not tippled from the lot allotted for tippling.

vi) In case wagons cleaning is not found satisfactory after unloading, shall invite penalty Rs.300/-

per inspection.

vii) In case the contractor fails to provide the JCB machines’ driver for assistance in tippling operation within one hour from receipt of coal rake in NFL premises a penalty of Rs. 1000/- per rake shall be imposed.

viii) In case the delay in unloading is beyond the stipulated time as mentioned under clause no. 7 of

tender document, penalty shall be imposed to the contractor at the rate Rs. 100/- for eight wheeler wagons per hour or part of an hour as per Railway norms.

ix) In case the contractor fails to provide the Poclain machine operator and helper as per requirement within one hour from receipt of coal rake in NFL premises, a penalty of Rs. 2500/- per rake shall be imposed.

6.0 Measurement of coal quantities:

For the purpose of calculation of quantities of coal for billing purpose the following standards of measurements shall be taken: -

BCX/BCN/BCNA/BOX/BOXN/BCNAHS (8 WHEEL WAGONS) = 60.0MT

It has been observed from the past experience that transit shortage varies from 1-2%. Therefore, supplementary bill for coal unloaded under item No.1 & 2 of SOR shall be raised after reducing 2% (transit shortage) of quantity from the actual invoice quantities.

Weighment of coal wagons on Tippler shall be in the scope of the contractor. However, depending upon the condition, the number of wagons per rake to be weighed shall be decided by Chief Manager (Prod.) /Sr. Mgr MHP. No extra payment shall be made for it.

6.1 Payment Terms:

Payment to the Contractor will be made on monthly basis. The bill after verification shall be paid within thirty days. The bill duly recommended shall be submitted to F&A Department. No advance payment shall be made. Demurrage & Penalty if any shall be recovered from running bills.

7.0 Unloading time & rates of demurrage: Free time allowed by the Railways for unloading of different type of Coal wagons is as follows: -

The contractor shall deploy sufficient resources including labours so that coal rake is released within free time after unloading.

The time allowed to contractor for unloading of coal rake shall be as under:

a) Total time allowed for unloading of coal of first rake will be five (5) hours after placement of the last batch of wagons.

b) In case of 2nd rake unloading time of 6 hours shall be allowed for 2nd rake onwards after placement of the last batch of wagons. Further where bunching of more than two number of rakes takes place, rest of 6 hours shall be allowed after completion of 2nd rake, 4th rake and so on.

c) The delay in placement of last batch of wagons, attributable to the contractor, if any, will be deducted from allowable time (5 hours or 6 hours as the case may be) and release time of rake calculated accordingly for imposing penalty time accordingly for each rake.

d) The contractor shall be liable to penalty for delayed unloading only if the rake attracts demurrage.

7.1 In case the delay in unloading is beyond the stipulated time as mentioned under clause 7.0, penalty shall be imposed to the contractor @ Rs.100/-for eight wheeler wagons per hour or part of an hour as per railway norms.

7.2 The demurrage rate (as charged by Railways) prevailing at the time of issue of NIT shall be kept fixed for tenure of the contract. Further the penalty for delay in unloading will be equivalent to demurrage rate.

7.3 The demurrage waiver benefit in percentage allowed by the railways at the first instance ONLY on the contractor’s liability to pay penalty will be passed on to the contractor.

4�� 'ncentive for demurrage control���

The contractor shall be paid Rs.1000/- (Rupees One Thousand only) per rake by way of incentive in case same is unloaded in free time without incurring any demurrage. Minimum of forty nos. (BCN) eight wheeler wagons and fifty eight nos. (BOXN) in the rake shall be considered as full rake for the purpose. More than specified nos. of wagons, incentive will be same but in case of less nos. of wagons incentive will paid on prorata basis.

NATIONAL FERTILIZERS LIMITED: PANIPAT GENERAL TERMS & CONDITIONS

1.1.0 The execution of the work may entail working in all the site and weather condition and no extra rate will be considered on this account. The contractor may have to carry out the jobs to work round the clock as per our requirement to be decided by Engineer in-charge and the Contractor should take this aspect into consideration for formulating his rates and quotation. No extra claim/overtime will be paid on this account.

1.2.0 Electricity, Water and Service Air will be provided free of cost at one point as per requirement of the job, pipe scaffolding material, structural material to contractor, if required free of charge, subject to availability.

1.3.0 No accommodation will be provided for the Employees of the contractor, NFL may allot land for putting temporary Godown/ workshop for making storage, work site by the contractor, free of cost.

1.4.0 The contractor shall have to make his own arrangements for all Tools & Tackles Skilled and Unskilled labours etc. required for the job. The work is subject to inspection at all time by the Engineers-in-charge and the Contractor shall have to carry out the work to the entire satisfaction of the Engineer-in-charge.

1.5.0 Sub-Contracting of the job will not be allowed without prior permission of the owner (NFL). 1.6.0 Statutory deduction on account of Income Tax as applicable shall be made at the prevailing rates, at the

time of release of payment to the party. 1.6.1 The rates to be quoted by the party should be inclusive of all Taxes (except service Tax) as applicable

during the contract period. �,!,�� Service Tax, if applicable, for the annual rate contract for “Unloading handling of coal from Railway

wagons, as well as removing of spillages, shifting of Coal mill rejects and carrying out other cleaning jobs in MHP” for the year 2011-12 shall be reimbursed by NFL to the contractor on production of documentary evidence. e.g. copy of Notification of Govt. regarding inclusion of said contract as part of taxable services, Service Tax registration no., service tax deposit challans etc. for the same by contractor.” It is clarified that the liability of NFL shall be restricted to the amount of service tax only, and any interest/penalty etc. shall be to contractors account. The contractor must submit documentary evidence/claim for levy of deposit of service tax immediately after deposit of the same. NFL can withhold the payment due to non-compliance of service tax rules.

1.7.0 The rates quoted by contractor will be firm for complete period of contract except the compensation due to escalation in minimum wages of labours as per Point no. viii of Special conditions of the tender document and agree to make payments of labour wages as per the statutory provisions of Haryana Govt.

1.8.0 The Tenderer should make a deposit of Rs.1,00,000/- as Earnest Money & Tender Fee of Rs. 1132/- by an A/C Payees Demand Draft, drawn on any Scheduled Bank except rural & co-operative bank in favour of "National Fertilizers Limited, Panipat" payable at PANIPAT. The Earnest Money shall not be accepted in any form other than specified above. Earnest Money should accompany the Tender in separate Envelope without which tender will not be opened and it will be considered as rejected.

1.9.0 The following tenders will be liable to summary rejection: 1.9.1 Tenders submitted by Tenderer who resort to canvassing. 1.9.2 Tenders, which do not fulfill any of the conditions, laid down in the Tender Documents or are

incomplete, in any respect. 1.9.3 Tender, which contain uncalled for remarks or any alternative additional conditions. 1.10.0 The company reserve the right to accept the lowest or any other Tender in part or in full or award

parallel contracts or reject all OR any of the Tender without assigning any reasons.

1.11.0 If the tenderer has relations whether by blood or otherwise with any of the employees of the NFL, the tenderer must disclose the relations in the Form of Declaration attached, at the time of submission of tender failing which NFL shall reserve the right to reject the tender or rescind the Contract.

1.12.0 The contractor shall at all times indemnify the owner against any claim which may be made under ESI Act, 1948 or any statutory modifications thereof or otherwise for or in respect of any damage or compensation payable in consequence of any accident or injury sustained by any workman or other person whether in the employment of the contractor or not.

1.12.1 In every case in which by virtue of provision of ESI Act,1948 or any other Law for the time being enforce, NFL is obliged to pay compensation to a Workmen employed by the Contractor for the execution of the work, NFL will recover the amount of the compensation so paid from the Contractor's bill.

1.12.2 The Contractor will be solely responsible for any liability for his workers in respect of any accident, injury etc. arising out of and in course of Contractor’s employment. For this purpose he shall obtain ESI Registration Number from Appropriate Authorities & deposit both Employers’ as well as Employees share of ESI contribution each month with ESI Authorities and also make necessary compliance of the provisions of the Act. The Contractor shall be responsible for recovery of employee’s share of ESI contribution from the concerned contract labour & NFL will not bear any liability whatsoever on this Account. Further, he will also indemnify NFL against any damages/interest that may be imposed by ESI authorities on account of non-payment/delayed payments towards ESI.

1.12.3 The Contractor shall ensure that contribution on account of ESI is deposited by due date of month & he will be required to furnish photocopy of ESI Challan every month by 21st of the month following the month to which it relates. For this purpose every month the contractor shall submit to NFL a copy of wages sheet as a proof of wages paid to the staff, treasury challan regarding depositing of ESI amount etc. for perusal of Officer Incharge & will also submit quarterly/periodically statements of ESI etc. as required under various labour laws in respect of staff engaged in execution of jobs. He will also submit half yearly return of ESI.

1.13.0 Wages shall be paid by the Contractor to the workman directly without the intervention of any Jamadars or Thekedars and contractor shall ensure that no amount by way of commission or otherwise is deducted or recovered by Jamadars from the wages of workman.

1.14.0 The contractor may employ such employees/ labours as he may think fit and the employees so employed should be employees of contractor for all purposes whatsoever and shall not be deemed to be in the employment of NFL for any purpose whatsoever. The contractor shall abide by all rules, laws and regulations that may be in force from time to time regarding the employment or conditions of service of the employees. If under any circumstances whatsoever, NFL is held responsible in any manner whatsoever for the default or omission on the part of the Contractor in abiding by the aforesaid rules, regulations and laws or held liable or responsible to the employees of the contractor in respect of any matter whatsoever and called upon to make payments on that account, NFL shall be reimbursed by the contractor for the same as also any other expenses costs and charges incurred by NFL in any proceeding or litigation arising out of any claim, demand or act on the part of the employees of the contractor, NFL shall be entitled to claim, demand or compensation from the contractor in that event. NFL shall also be entitled to recover the aforesaid amount from the Contractor that may become due and payable to Contractor.

1.15.0 Interested tenderer after studying the tender documents carefully, may obtain necessary clarifications, if any in writing before tendering, Submitting of tender implies that the Tenderer has obtained all the clarifications required No claim on ground for want of knowledge in any respect will be entertained No claim for extra charge consequent on any misunderstanding or otherwise will be allowed.

1.16.0 The Contractor shall be liable to the company for any omission or Commission on his part or on the part of his employees thereby causing any loss, damage or inconvenience to the company.

1.17.0 The Contractor shall make his own arrangement for removal of old as well as unused material, including packing materials and empty cases free of cost from work site to the place indicated by the Engineer-in-charge after completion of work and nothing extra will be paid.

1.18.0 The decision of Engineer-in-charge in regard to all matters relating to this Tender and for determine the category of work with reference to material of an item not mentioned in scope of work shall be final.

1.19.0 The Contractor must have been registered with PF Authorities and have their own PF Code Number under the Employees Provident Fund and Misc. Provisions Act, 1952. In case of non-compliance with any of the conditions/or provisions contained in E.P.F. and Misc. Provision Act 1952 as amended from time to time. NFL reserves the right to provisionally retain 25 % of the Contractor's payment towards employee's and employer's contribution.

1.20.0 QUANTUM OF JOB: Estimated value of work has been given on the basis of job executed during the last year. NFL will not give any guarantee for minimum billing, minimum quantum of work during the year.

1.21.0 If the Contractor is unable to execute the work any loss incurred by the company in this respect, will be, to the Contractor’s account. The company may also terminate the contract after giving a three day’s notice, if in its opinion; the work under the contract is not being done to its satisfaction. The Company will also have right to get the job done by a third party at the risk and cost of the Contractor till the expiry of the period of the contract and debit the cost plus 25% to the Contractor.

1.22.0 VALIDITY OF THE CONTRACT:- Contract will be awarded initially for a period of one year. However, it can be extended subsequently,

on satisfactory performance, at the discretion of NFL for a further period up to one year on the existing rates, terms and conditions. Contractor shall be bound to accept the same. The job can therefore, be got done any time during the tenure of the contract. Normally Notice to 7 days be given for starting the job but the Contractor should be able to mobilize within 24 hours, if the necessity so arises.

1.23.0 FORCE MAJEURE: - The terms and conditions agreed upon under the contract shall be subject to Force Majeure. Neither the contractor nor NFL shall be considered in default in the performance of their obligation contained therein, if such performance is prevented or delayed or restricted or interfered with by reason of War, Hostilities, Revolutions, Civil Commotion, Strike, Epidemics, Accidents, Fires Flood, Earthquake, regulation or ordinance or requirement of any Government or any sub-division thereof, or authority or representative of any such Govt. and/or due to technical snag/reasons or any other Act whatsoever, whether similar or dissimilar to those enumerated beyond the reasonable control of the parties hereto or because of any act of GOD. The party so affected, upon giving prompt notice to the other party shall be excused from such performance to the extent of such prevention, delay, restriction or interference for the period it persists provided that the party so affected shall use its best efforts to avoid or remove such causes of non performance if possible and shall continue performance hereunder with the utmost dispatch whenever such causes are removed. Should one or both parties be prevented from fulfilling their contractual obligations by a state of Force Majeure lasting continuously for a period of one week, the two parties to the contract shall meet and decide about the future course of action for implementation of the contract.

1.24.0 LOSS TO PLANT DURING EXECUTION: - Any damage or loss caused to plant Equipment etc. during execution of this contract will be made good by the contractor at his own cost and risk.

1.25.0 NFL shall have power to make any alteration in, omission from, addition to, or substitutions for original Specifications and instructions which may be considered necessary, during the progress of work and Contractor shall be carry out the work in accordance with any instruction which may be given to him in writing duly signed by Engineer-in-charge. Such alteration, omission, additions, substitutions, shall not invalidate the contract and any altered, additional or substituted work which the Contractor may be directed to do in the manner above specified as a part of the work, shall be carried out by the Contractor on the same condition in all respects on which he has agreed to do the main work.

1.26.0 If the rates for the additional altered or substituted work are specified in the contract for the work, the Contractor is bound to carry out the additional, altered or substituted work at the same rate as per specifications in the rate contract for that work.

1.26.1 In the event the extra or substituted items of the work does not fall in category as above, the cost will be calculated on the basis of actual labour and consumable materials utilized for the job. The quoted rates will be inclusive of overhead and profit. The quantum of labour and consumable material used will be a assessed by the Engineer-in-charge, whose decision in this respect will be final and binding upon the Contractor. The contractor will be required to obtain prior approval of NFL for rates payable to him for such extra items.

1.26.2 In case, the Contractor fails to do the extra and/or substituted work. NFL will have the option to get the work done through another agency at the Contractors' risk and cost. As per clause No. 1.21.0 of General Terms and Conditions.

1.27.0 SECURITY: Initial Security Deposit @ 2.5% of the total contract value including earnest money (EMD) has to be deposited by the contractor within 10 days from the date of start of work.

Balance Security Deposit @ 7.5% (seven & half percent) of the value of the work done shall be deducted from each bill so as to make total recovery of 10% of the gross value of the contract as Security Deposit (including EMD already deposited). No interest will be paid on Security Deposit/EMD. It will be refunded after defected liability period/as per NIT/GTC Clause No. 1.28.0.

1.28.0 PERIOD OF LIABILITY: The Contractor shall guarantee for the work done for a period of (3 months) from the date of issue of Completion Certificate. Any damage or defect may arise or lie undiscovered at the time of completion certificate, in the workmanship shall be rectified or replaced by the Contractor. In default, the Engineer-in-charge may cause the same to be made good by other Contractor and deduct expenses (of which the certificate of Engineer-in-charge shall be final) from any sums that may be there or at any time thereafter become due to the Contractor or from his Security Deposit.

1.29.0 PROCEDURE FOR MEASUREMENT/BILLING OF WORKS IN PROGRESS: 1.29.1 MEASUREMENT AND BILLING:

All measurement shall be in metric system. All the works in progress will be jointly measured by the representative of the Engineer-in-charge and the Contractor’s authorized agent, as per method outlined in the special, General Terms and Conditions of the contract. Such measurement will be got recorded in measurement book by the Engineer-in-charge or the authorized representative and signed in token of acceptance by the Contractor or his authorized representative. The Contractor will submit a bill in approved Performa in Triplicate to the Engineer-in-charge of the work giving abstract and detailed measurements for the various items executed during a month before expiry of the 1st week of the succeeding month.

1.29.2 RUNNING ACCOUNT PAYMENT: All running account payments shall be regarded as payments by way of advance against the final payment only and not as payments for work actually done.

1.29.3 COMPLETION CERTIFICATE/FINAL BILL: The Engineer-in-charge shall normally issue to the contractor the completion certificate within one month after receiving an application there of from the contractor after verifying from the completion documents and satisfying himself that the work has been completed in all respect in accordance with the instructions, specifications of contract documents. The contractor after obtaining the completion certificate is eligible to present the final bill for the work executed by him. The final bill shall be prepared on the basis of the final measurements entered in the measurement books/sheets. The final bill shall be prepared in the prescribed Performa with reference to total work covered by the contract such bill to be drawn up applying the applicable rates specified in the schedule of rates to the relative measured quantities. The final bill shall also include all additional claims of the contractor and considered conclusive.

1.29.4 FINAL CERTIFICATE: Within fifteen days of the contractor's application made after the expiry of the period of defect liability provided for in clause 1.28.0 here of and satisfaction of all liabilities of the contractor in respect there of the Engineer-in-charge that the contractor has performed his obligations in respect of the defect liability period and until issue of such final certificate, the contractor shall be deemed not to have performed such liabilities not withstanding issue of the completion certificate or payment of the final bill by NFL.

1.30.0 TERMS OF PAYMENT: Payment shall be released after necessary statutory and other deductions as per NIT terms within 30 days of submission of bill completed in all respects. Party has the option to receive payment through Electronics Funds Transfer (EFT)/RTGS Process. For this option, party may submit their bank particulars i.e. Customers name, Name of bank, Bank Account No.(All digits in case of CBS branches), Place of branch, Branch code (IFSC CODE-11 Digits) to enable us to release payment accordingly. All bank charges will be to your account”. No advance payment shall be made.

1.31.0 ISSUE OF MATERIAL FROM NFL: Any issue of materials from NFL stores not covered in NFL obligation will be issued and charged on NFL issue rate +25% + All Taxes will be charged extra. The issue of such material will be sole discretion of NFL. This applies to the extra materials up to 10 % wastage. Above 10% excess wastage NFL will charge double the issue rate to the Contractor. This is applicable in case of free issues materials.

1.32.0 MATERIAL TRANSPORTATION:

The contractor shall make his own arrangement for Transportation of the material from stores to site of work and to the place of erection etc. at his own cost for making temporary stores/work sites, NFL may indicate an area at its own discretion for putting up of a temporary hut/shed.

1.33.0 PENALTY: As per Clause: 5 of Scope of Work. 1.34.0 ENGINEER-IN-CHARGE:

The Engineer-in-charge shall have general supervision and direction of the work. He has authority to stop the work whenever such a stoppage may be necessary to ensure the proper execution of the contract. He shall also have authority to reject all work which directs the application of forces to any portion of the work as in his judgment is required and order force increased or diminished and to decide disputes, which arise in the execution of the work. The Engineer-in-charge reserves the right to suspend the work of the part thereof at any time and no claim whatsoever on this account will be entertained. In case of any dispute the contractor may appeal to the Engineer-in-charge whose decision shall be final and binding.

1.35.0 JURISDICTION: The contract will be deemed to have been entered into at Panipat all Causes of action in relation to contract will therefore be deemed to have arisen within the Jurisdiction of the court of Panipat (Haryana) only.

1.36.0 CONCILIATION & ARBITRATION: “Except where otherwise provided in the contract all matters, questions, disputes or differences what so ever, which shall at any time arise between the parties hereto, touching the construction, meaning, operation or effect of the contract, or out of the matters relating to the contract or breach thereof, or the respective rights or liabilities of the parties, whether during or after completion of work or whether before or after termination shall after writing notice by either party to the contract be referred to the arbitration of Chairman and Mangling Director, National Fertilizers Limited or his/her nominee. The Arbitration & Conciliation Act, 1996 or any statutory modification or re-enactment thereof and the rules made there under shall govern the Arbitration proceeding. The contractor here by agrees that he shall have no objection if the Arbitrator so appointed is an employee of NFL and he had to deal with the matter to which the contract relates and that in the course of his duties as such he has expressed his views on all or any of the matter in disputes or differences. If the arbitrators to whom matter is referred, vacate his/her office by any reason what so ever than the next arbitrator so appointed by the authority referred above may start the proceedings from where his predecessor left or at any such stage he may deem fit.” “It is agreed by and between the parties that in case a reference is made to the Arbitrator or the Arbitral Tribunal for the purpose of resolving the disputes/differences arising out of the contract by and between the parties hereto, the Arbitrator or the Arbitral Tribunal shall not award interest on the awarded amount more than the rate SBI PLR/Base Rate as applicable to NFL on the date of award of contract.”

1.37.0 CONTRACTOR TO REMOVE UNSUITABLE EMPLOYEES: The contractor shall on instruction of the Engineer-in-charge immediately remove from the work any person employed thereon who may misbehave or cause any nuisance or otherwise, in the opinion of the Engineer-in-charge is not a fit person to be retained on the work and such person shall not be again employed or allowed on the works without the prior written permission of the Engineer-in-charge.

1.38.0 SAFETY REGULATION:

The contractor shall observe and abide by all fire and Safety regulations of the NFL. Before starting maintenance work, the Contractor shall consult NFL's Safety Officer or the Engineer-in-charge. If the Safety Engineer is not available, he will do familiarize him with such regulations, copies of which will be furnished to him by NFL, when requested. He shall be responsible for and must make good to the satisfaction of the NFL any loss or damage due to fire to any portion of the work to be done under this agreement or to any of the NFL's existing property. All the accidents to contractor's staff will be reported to the Safety Officer promptly. This will however not relieve the contractor of any statutory obligation. The contractor shall not undertake any hot job without safety work permit. He has to maintain First Aid Box in his office. Also necessary safety equipment like Helmets, Hand Gloves, Face Shield, Safety Belt etc are to be provided to his workmen by the contractor. However special Safety equipment required as per the job requirement will be provided by NFL free of cost.

1.39.0 CONTRACTOR TO EXECUTE AGREEMENT: The contractor’s responsibility under this contract will commence from date of issue of the Letter of Intent. The Tender Documents, other documents exchanged between the Tenderer and NFL, the letter of acceptance and work order shall constitute to the contract. The successful Tenderer shall be required to execute an agreement on a non-judicial stamp paper of Rs.100/- with NFL within 10 days (Ten days) of receipt by him of the Letter of Intent. The agreement to be executed will be in Agreement Form specified by NFL. The cost of the Stamp Papers will be borne by the contractor.

1.39.1 The Contractor shall comply with the provisions of Contract Labour (Regulation & Abolition) Act, 1970 and rules framed there under as amended from time to time.

1.39.2 The Contractor shall abide by all the Acts/ Labour Laws related to PF, Wages, Holidays, Leave, and Over-time etc. Separate contractor’s obligations have been detailed out as per Annexure “A" enclosed herewith.

1.39.3 The Contractor shall ensure that the Payment of Wages to Labourer has been made in accordance with minimum Wages Act. If at any time, it is noticed or it comes to the knowledge the payment to the Labourer employed by the Contractor is not made in accordance with the Minimum Wages Act, NFL shall reserve the right to take remedial action to regulate the payment.

1.39.4 It is understood by the contract that in the event of any losses/damages caused to the owner (NFL) due to the reasons whatsoever within his control and the same losses/damages are approved, the contractor has to make good all the consequential damages/losses to the Owner without any protest and demur. The damages/losses shall be apart from other claims/damages to which the Owner is entitled under the contract or in the course of Law.

1.39.5 The contractor shall ensure that all the formalities required to be completed under the existing Laws of India for and or in connection with engaging/employment of labourers have been fulfilled. NFL shall be under no obligation to accept/admit any claim in this behalf.

1.39.6 The Contract shall be governed by and construed in accordance with the Laws of India. 1.40.0 The prospective tenderers having any common partners/Directors/Managing partners, etc. or having

any other common criteria shall be considered as Sister/Group/Associates Company. In such cases, only one of them will be eligible for participating in the tender.In case of concealment of any fact, if detected later on, such tenderer will be debarred from all future dealings with NFL.

1.40.1 No condition or deviation should be mentioned by the tenderer in price bid. Offers where party has mentioned any condition or deviation in price bid shall be liable to be ignored without any further reference.

1.40.2 The tenderer shall quote the price strictly as per the Performa enclosed for schedule of prices. Parties should quote one rate for specific quantity quoted by them. Tenders with quotation of different rate for different quantities shall be rejected without any further reference.

1.40.3 One person will be allowed to represent only one company during discussions/negotiations with NFL. If same person is representing different companies with authorization letter from more than one company, such person will be allowed to represent only the first company called for negotiations.

1.40.4 Bidders may ensure that tender documents/offer has been signed by appropriate/authorized representative of the Company. Withdrawal of offer/non-acceptance of orders placed based on offers submitted by bidders on their letter head; will not be allowed on the grounds that offer was not signed by authorized person.

ANNEXURE - A OBLIGATIONS OF CONTRACTOR

Since the job is labour oriented, strict adherence of various applicable labour laws like the Factories Act,

1948, the industrial dispute act, 1947, The Minimum Wages Act, 1948, the payment of Bonus Act, 1965, The Payment of Wages Act, 1936, The E.S.I. Act,1948, The Employees/Workmen’s Compensation Act, 1923, The Employees Provident Fund & Miscellaneous Provisions Act, 1952, Employees Pension Fund Scheme, 1995, The Contract Labour (R&A) Act, 1970, The Punjab Labour Welfare Fund Act, 1965 etc. and all other Statutory requirements as amended from time to time to the entire satisfaction of Central/State Govt., Authorities shall be the responsibility of the Contractor and he shall have to make good loss, if any suffered by NFL on account of default in this regard by the Contractor. License: Every Contractor who engages 20 or more workmen has to obtain a License under The Contractor Labour (R&A) Act, 1970 from Licensing Officer, Office of Asstt. Labour Commissioner,(Central) Faridabad/Regional Labour Commissioner (Central), Chandigarh. A Security Amount of Rs. 99/- per worker is to be deposited by the contractor, (Rs,15/- per workerwhere the contractor is a Co-Operative Society). In addition, the following fee is to be paid for grant of License, if the numbers of workmen employed by the contractor on any day is – A) Manpower up to 20 Person - Rs. 15.00 B) Exceeds 20 but does not exceed 50 - Rs. 37.50 C) Exceeds 50 but does not exceed 100 - Rs. 75.00 D) Exceeds 100 but does not exceed 200 - Rs. 150.00 E) Exceeds 200 but does not exceed 400 - Rs. 300.00 F) 400 and ABOVE - Rs. 375.00 The License is valid for a period of 12 months from the date of issue. WAGES: The Wages of Labourers are to be paid by the 7th of every month. The Contractor shall maintain all records and Registers required under the Law. The Contractor labour is to be paid the Minimum Wage applicable in Chemical Industries of Haryana State. The rates for semi-skilled and highly skilled and office staff are also prescribed by the State Govt. The Minimum wage is linked with the Composite Haryana State Working Class Consumer Price Index Numbers (Base Year: 1972-73) with January, 1982 as the base month. The rate of Neutralization is Rs.2.31 Ps. per point on the rise or fall of the Consumer Price Index Number. The present rate of minimum wages is Rs. 4348/-per month. Adjustment in wages will be made six monthly i.e. 1st January and 1st July every year taking the average rise or fall in the State Composite Index. However, the wages shall not below the minimum rate of wages already fixed. HOLIDAYS: In a Calendar Year, the Contract Labour shall be allowed THREE NATIONAL HOLIDAYS (26TH JANUARY, 15TH AUGUST, AND 2ND OCTOBER) and FOUR other FESTIVAL HOLIDAYS. LEAVE: In a Calendar Year, the Contract Labour is to be allowed Seven Casual Leave and 14 days sick leave on half pay. During the first year of service, the labour may be allowed two casual leave for every three months of service. The un-availed casual leave shall lapse at the end of the calendar year. Casual Leave shall not be combined with any kind of leave. If sick leave is for more than two days, the application should be supported by Medical Certificate from RMP. No labour would be entitled to wages for any leave or holiday other than National Holidays, if he was not on the rolls of the Contractor continuously for a period of one month immediately preceding such leave or holiday. Contractor shall issue leave cards to his workers. EARNED LEAVE: Every labour who has worked for a period of 240 days or more during a calendar year is to be allowed during the subsequent calendar year leave with wages at the rate of one day for every 20 days work performed during the previous calendar year. The leave is exclusive of all holidays whether occurring during or at either end of the

period of leave. The labour who joins on a day other than 1st January shall be entitled to leave with wages if he has worked for two/third of the total number of days in remainder of the calendar year. In calculating leave, fraction of leave of a half-day or more shall be treated as one full day leave and fraction of less than half day shall be omitted. OVER TIME: Where a labour works for more than nine hours a day or for more than 48 hours in a week, he is to be paid overtime at the rate twice of his ordinary rate of wages. Where a labour works on any National Holiday, as declared, he is to be paid either twice his average daily wage or his average daily wages for that day and substituted holiday with wages on any other day within 90 days from the day on which he has worked. The average wage may be computed on the basis of his full time wages during the preceding three calendar months exclusive of overtime wages, if any. IMPLEMENTATION OF PUNJAB LABOUR WELFARE FUND: The contractor shall be solely responsible for depositing the Welfare Fund Contribution (employee’s as well as employer’s share) at the prescribed rates under the Punjab Labour Welfare Fund Act, 1965 in respect of employees engaged by him. The contractor shall recover the employee’s share of contribution from the concerned employee and NFL shall not bear any liability whatsoever on this account. The contractor shall ensure that the contribution on account of Welfare Fund Contribution is deposited before 31st December every year by way of a Crossed Cheque/Demand Draft in favour of Welfare Commissioner, Haryana and he shall submit the documentary proof to NFL of having deposited the same. Any interest/penalty on account of delayed/non-payment shall be borne by him. Further, the compliance of all the necessary formalities required to be completed under the Act from time to time shall be the responsibility of the contractor. PROVIDENT FUND: The Contract Labour employed by the various Contractors in connection with the work of the Company are eligible for membership of Employees Provident Fund/Employees Pension Scheme. Contract Labour shall be eligible and required to become a member of the Provident Fund / EPS from the date of joining. The Contractor’s worker shall subscribe to the fund a sum equivalent to 12 % of the wages including Dearness Allowance rounded to the nearest quarter of a Rupee. The Contractor shall also contribute a sum equal to the total of each such compulsory subscription every month plus allied charges like DLIS & administrative charges etc. The Contractor must submit a statement in duplicate to P&A Deptt. showing the details of worker's wages paid for the month/deductions made from the wages on account of PF and EPS separately and deposit such deductions alongwith equal subscription by the contractor by 10th of the subsequent month alongwith the proportionate administration/ inspection charges as per PF rules and shall submit Proof of the same The successful Contractor will take the following written undertaking from Labourers and Supervisor employed by him: " That he will not resort to any unfair labour practice, such as illegal strike, willful go slow, spitting on the work premises, gherao of any of the Managerial and other staff, indulging in any act of violence to hold out threats of intimidation of any worker with a view to prevent him from attending work. He will maintain good discipline at work premises." COMPLIANCE OF THE ABOVE CONDITIONS IS THE SOLE RESPONSIBILITY OF THE CONTRACTOR.

SPECIAL CONDITIONS OF THE CONTRACT:

i) The contractor shall have to deploy adequate manpower for unloading the rake in free time as well as take care of cleaning of spillages in bunkering system and unloading system and other miscellaneous jobs, as explained in the Scope of Work. The arrangements shall be applicable for round the clock working on all days including Sundays & holidays.

ii) Wagons, after unloading of coal, shall be cleaned thoroughly. Coal not removed from the wagons is likely to get accumulated in the Bagging Plant when the wagons are cleaned over there, and it shall be the responsibility of the contractor to arrange lifting of coal accumulations in the Bagging Plant either from back loading rakes or from rake supplied by railway for loading of urea in bagging plant.

iii) Contractor’s supervisor shall be posted in the Material Handling Plant for carrying out instructions given by the Engineer In charge/Shift in charge. The Supervisor shall ensure thorough cleaning of the conveyor system & dozing operation. Also no accumulation of coal shall be allowed near the surroundings of the railway tracks and shall be shifted towards the coal yard as and when coal unloading is completed.

iv) The contractor will be fully responsible for the damage/loss of the property belonging to NFL/Railways, as a result of negligence on the part of contractor/his supervisor and staff.

v) It shall be responsibility of the contractor to keep watch and have information of arrival and placement of wagons at site. The contractor shall have to communicate the completion of unloading so that withdrawal of wagons can be undertaken by NFL without wasting time.

vi) The contractor shall have to submit the details of wagons in duplicate i.e., identification no. of individual wagon along with identification of placement track immediately on completion of placement.

vii) While handling the material, all the safety precautions for the persons working will be followed strictly by the contractor. NFL will not be responsible for any injury/damage to the labour of contractor caused due to any accident arising out of negligence on the part of the contractor or his labours. Adequate safety protection shall be provided by the contractor to the labours at his own cost. Contractor must ensure that his labourers do not climb up the rolling coal wagons and under high-tension overhead live electric cables.

viii) The rates quoted by the tenderer will be firm during the currency of the contract and will not be subjected to escalation irrespective of any increase what so ever except any increase in minimum wages as directed by the Govt.of Haryana (After notification by the Govt.).The escalation in wages if any, will be reimbursed as per the following formula : Amt. to be reimbursed on account of escalation of minimum wages

=Billed amt. x 0.70 x (Increased min.wages – wages at the time of tech bid opening)

The enhanced payment shall be released only after receipt of proof of payment of enhanced wages/arrears to the workers. The contractor shall deduct PF/ESI from the enhanced wages.

ix) Arrangement of shovels, hammers, spades, tractor trolleys, crew for removal of stones, buckets, hand trolleys, trucks and other mechanical means of transportation for shifting and removal of the mill rejects etc. shall be the responsibility of the contractor. Tractor trolleys to be provided as per requirement for removal of the mill rejects.

x) In case of delay in clearing the mill rejects from the coal mill area, NFL will be free to get it done through other agency at the risk and cost of the contractor plus 25%.

xi) Contractor shall ensure deployment of sufficient manpower on the mills of each boiler in operation, for keeping the same free from getting packed. He will also ensure that the rejects do not spill on the road during the shifting and maintain the mill surroundings clean.

xii) Rejects shifted from mill area to specified dumping area should not be spread in the entire dumping area. However, if the material is spread in the dumping area, the same will be dozed by us. Dozing charges @Rs.3400/- per hour plus taxes, if any, as per rules shall be charged for every hour or part thereof as operational charges of bulldozer. The dozing shall be done at the risk and cost of the contractor.

xiii) General terms and conditions and “Obligations of Contractor” shall be binding upon the successful tenderer. Any change in the statutory obligations and general terms and conditions shall also be applicable as and when declared/notified by the Govt./Appropriate authorities.

xiv) Tenderer may note that deployment of man days as shown in the Scope of Work Clause 4.0 is purely indicative and same could vary depending upon the performance of his men, quality of supervisors deputed by the contractor. NFL reserves the right to release payment on the basis of frequencies carried out in actual practices.

xv) Special safety items like rope ladder, breathing set, 24 volt lamps etc. shall be provided by NFL free of charge. Contractor shall have to use the same in proper manner and return the same to Engineer-Incharge. Failure to keep proper account of NFL’s safety appliances/misuse/damage due to negligence of contractor’s men shall be booked on contractor’s account and cost recovered from the running bills. Requirement of the safety appliance shall be judged by Engineer-in-charge and his decision shall be binding upon the Contractor.

xvi) The contractor shall ensure that no labour should be engaged on the track for which the release including clearance of coal jam is given to avoid any untoward incident.

xvii) Contractor shall be responsible for supplying equipment like safety helmets, hand gloves, safety goggles and dust masks to his employees as per requirements of the job.

xviii) All the pages of the Tender Document is to be signed by the tenderer as a token of proof that the same have been read and understood by the tenderer and accepted.

xix) NFL reserves the right to drop/delete any activities under Scope of Work - clause 4.0, in the Schedule of Rates as per exigencies during the tenure of the contract & contractor shall not have any kind of claims whatsoever.

xx) Since all the jobs are not of continuous nature, the contractor shall be informed as per plant’s requirements. However, he shall remain present in the NFL premises/maintain contact with Engineer-In charge so that programmes are communicated to him at short notice and he should be able to mobilize resources as per requirements.

xxi) It will be the responsibility of the contractor to dump all the waste/defused materials/rubbish collected in the area/place specified by the Shift In charge/Engineer of the concerned plant.

xxii) It is the responsibility of the contractor to keep the labour in specified area only. xxiii) The estimated quantities mentioned in the Tender Specifications are likely to vary as per the plant

requirement and the resources shall be utilized for such jobs, which may arise during the exigencies.

xxiv) The contractor himself through CISF will arrange the Gate Passes of the labourers.
