Het milieu staat tegenwoordig hoog op alle agenda’s.

Duurzaam ondernemen, ook wel Maatschappelijk Verantwoord

Ondernemen (MVO) genoemd, is een sterke ontwikkeling

binnen veel organisaties en zal dat de komende jaren ook

blijven. Ook in de hospitalitybranche is MVO een duidelijke

trend: steeds meer hotels en conferentieoorden in en buiten

Europa mogen het Green Key keurmerk voeren en laten zo

zien dat zij bewust omgaan met het milieu.

De Green Key

Een hotel of conferentieoord dat in het bezit is van het Green

Key certificaat, heeft meer gedaan dan wet- en regelgeving op

milieugebied vereist. Er zijn diverse investeringen gedaan om

afval, water- en energieverbruik te verminderen en zowel gasten

als medewerkers zijn actief betrokken bij de maatregelen die

de milieubelasting verminderen. Het Green Key keurmerk kent

drie niveaus: brons, zilver en goud. Hoe hoger het niveau, hoe

meer maatregelen er zijn getroffen op milieugebied.

Voordelen van de Green Key

Voor u als hotelier heeft het voeren van de Green Key vele

voordelen. Een ondernemer met een Green Key certificaat

vermindert aantoonbaar de druk op het milieu door verbruik

van gas, water en electra en afvalproductie terug te dringen.

Dit zorgt ook voor een vermindering van kosten en levert u

dus ook financieel voordeel. Daarnaast is de Green Key

een effectief middel om uw milieuprestaties te meten en

te communiceren naar gasten en derden zoals de lokale

overheid. Uw aantoonbaar verantwoorde milieubeleid vormt

zo een extra reden voor de gast om juist voor uw hotel te

kiezen!

Currently the environment has a top priority. Sustainable

entrepreneurship, also referred to as Corporate Social

Responsibility (CSR) is strongly developed within many

organisations and will continue to do so in the coming

years. Corporate Social Responsibility is a clear trend in the

hospitality branch as well: an ever increasing number of hotels

and conference facilities inside and outside Europe have

obtained the approval to apply the Green Key label in order

to demonstrate that they consciously and willingly do their

utmost to preserve the environment.

Green Key

A hotel or conference facility which has the Green Key

certificate, has done more than legal and regulatory

requirements demand. Several investments have been made

to reduce waste, water and energy consumption, and guests

as well as employees are actively involved in measures to

minimise burdening the environment. The Green Key certificate

has three (3) levels, bronze, silver and gold. The higher the

level, the more measures have been taken to preserve the

environment.

Green Key advantages

For you as the hotel manager, the Green Key certificate and

logo holds a variety of advantages. The organisation which

has obtained the Green Key certificate has proven to reduce

the impact on the environment with regard to gas, water and

electricity consumption and by reducing waste production.

This also has a positive effect on costs, which means it is

financially profitable as well. Furthermore, the Green Key is an

effective means to measure your environmental performances

and to communicate this to your guests and third parties such

as the local authorities. As such, your proven environmental

policy is an additional reason for guests to select your hotel!

Van Bunzl Outsourcing Services BV. (“Bunzl”), gevestigd te Almere, ingeschreven bij de Kamer van Koophandel te Lelystad onder nummer 33054904. Deze Algemene Voorwaarden zijn gedeponeerd bij de Kamer van Koophandel te Lelystad.

Artikel 1: Toepasselijke voorwaarden

1.1. Deze Algemene Voorwaarden (“voorwaarden”) zijn van toepassing op alle door Bunzl met wederpartij(en) (“afnemer”) gesloten overeenkomsten, de totstandkoming daarvan en alle door Bunzl uitgebrachte offertes.

1.2. Afwijkingen van deze voorwaarden zijn alleen geldig, indien deze door Bunzl en afnemer schriftelijk zijn overeengeko-men.

1.3. De toepasselijkheid van algemene voorwaarden van de afnemer wordt uitdrukkelijk van de hand gewezen.

Artikel 2: Offerte/Overeenkomst

2.1. Alle door Bunzl uitgebrachte offertes zijn vrijblijvend.

2.2. Een Bunzl bindende overeenkomst komt pas tot stand na Bunzl’s aanvaarding van een order, dan wel indien Bunzl kenbaar heeft gemaakt dat met de uitvoering van de order is begonnen.

2.3. De in prospectie, prijscouranten en andere drukwerken van Bunzl verstrekte gegevens zoals afbeeldingen, kleurstel-lingen, maten, gewichten e.d. gelden als een benadering tenzij Bunzl uitdrukkelijk heeft verklaard, dat deze als een exacte opgave zijn te beschouwen.

Artikel 3: Prijzen/Betaling

3.1. Alle door Bunzl gehanteerde prijzen zijn exclusief BTW, tenzij anders is aangegeven.

3.2. De door Bunzl gehanteerde prijzen zijn gebaseerd op kostprijsfactoren zoals die gelden op de datum van het aan-bod.

3.3. Indien één van de kostprijsbepalende factoren (zoals bijvoorbeeld, maar niet uitsluitend, inkoopprijzen, loonkosten, belastingtarieven, in- en uitvoerheffingen of koerswijzigingen van vreemde valuta) van een artikel wijzigt in de periode tussen de datum van het aanbod en de datum van levering, heeft Bunzl het recht de overeengekomen prijs dienover-eenkomstig aan te passen.

3.4. Tenzij uitdrukkelijk anders is overeengekomen, dient betaling te geschieden binnen dertig kalenderdagen na factuur-datum.

3.5. Indien niet anders is overeengekomen, wordt betaling geacht te zijn geschied, wanneer de bank- of girorekening van Bunzl is gecrediteerd of bij betaling aan Bunzl per kas op de datum van de kwitantie.

3.6. Zodra de in 3.4. genoemde termijn is overschreden, is afnemer in verzuim, zonder dat daarvoor een ingebrekestelling of sommatie is vereist.

3.7. Bij verzuim is afnemer 2,0% rente per maand of gedeelte van een maand verschuldigd over het volledige factuurbe-drag, ingaande op de vervaldatum van de factuur. Afnemer is tevens de buitengerechtelijk incassokosten verschuldigd conform het tarief van de Nederlandse Orde van Advocaten met een minimum van € 113,=. Bovendien is afnemer aan Bunzl verschuldigd alle proceskosten en daarmee verbonden kosten van rechtskundige bijstand, waaronder begrepen niet door de rechter toegewezen bedragen, die Bunzl terzake van de uitvoering van de overeenkomst met afnemer heeft moeten maken, tenzij Bunzl als verliezende partij door de rechter volledig in de kosten wordt veroordeeld.

3.8. Indien Bunzl afnemer in gebreke stelt of sommeert, raakt afnemer reeds door overschrijding van de in 3.4. genoem-de termijn in verzuim.

3.9. Betalingen van afnemer strekken eerst ter voldoening van alle verschuldigde kosten, dan van de verschuldigde rente en vervolgens van de opeisbare facturen die het langst openstaan, zelfs al vermeldt afnemer dat de voldoening betrekking heeft op een latere factuur.

3.10. Verrekening van het factuurbedrag met vorderingen op Bunzl kan slechts plaatsvinden voor zover de vorderingen opeisbaar zijn en ofwel in rechte onherroepelijk zijn vastgesteld ofwel door Bunzl uitdrukkelijk zijn erkend.

Artikel4:Levering

4.1. De leveringstermijn van de zaken (“artikelen”) vangt aan op de dag van de totstandkoming van de overeenkomst of, voor zover het volgende later geschiedt op de dag waarop een overeengekomen aanbetaling volledig is voldaan en voor de uitvoering van de overeenkomst relevante door afnemer te verstekken informatie is ontvangen.

4.2. De door Bunzl opgegeven termijnen van levering zijn nimmer aan te merken als fatale termijnen, tenzij uitdrukkelijk en schriftelijk anders is overeengekomen. Bij overschrijding van deze termijnen heeft afnemer niet het recht de overeen-komst te ontbinden.

4.3 Bij niet tijdige levering dient Bunzl schriftelijk in gebreke te worden gesteld en dient Bunzl een termijn van minimaal veertien dagen te worden gegund om alsnog haar leveringsverplichting na te komen, tenzij de redelijkheid en billijkheid onder de gegeven omstandigheden een langere rechtvaardigen.

4.4 Het risico van de artikelen gaat over op de afnemer op het tijdstip van aankomst van de artikelen op de overeengeko-men plaats van afleveringen tenzij uitdrukkelijk anders is overeengekomen.

4.5 Bunzl is tot het doen van deelleveringen bevoegd. Iedere deellevering wordt als een afzonderlijke levering beschouwd en behandeld met alle daaraan verbonden rechtsgevolgen.

4.6 Afnemer levert een door Bunzl vast te stellen bijdrage in de vrachtkosten indien de transactie tussen afnemer en Bunzl een factuurbedrag betreft van minder dan € 227,= exclusief BTW. Bunzl behoudt zich het recht voor vrachtkosten aan afnemer in rekening te brengen indien aflevering van de artikelen plaatsvindt buiten de gebruikelijke dagen van aflevering (“routedagen”) van Bunzl; de in dat geval door Bunzl te maken expeditiekosten zullen door Bunzl aan afnemer worden doorberekend.

4.7 Indien afnemer zulks wenst, kan Bunzl artikelen op afroep voor afnemer in voorraad houden. Voor artikelen, die om welke reden dan ook voor afnemer in voorraad gehouden worden, zendt Bunzl ten behoeve van het aanmaken van een nieuwe voorraad van tijd tot tijd een aanmaakbevestiging inhoudende een omschrijving van het artikel, de hoeveelheid, de afnameprijs en de afnametermijn. Indien afnemer niet binnen vijf werkdagen na verzending van de aanmaakbeves-tiging schriftelijk heeft geprotesteerd tegen de aanmaak, is afnemer onherroepelijk en onvoorwaardelijk verplicht tot afname daarvan binnen de in de aanmaakbevestiging genoemde termijn.

4.8 Alle al dan niet op verzoek van afnemer door of in opdracht van Bunzl gemaakte ontwerpen, clichés e.d., ook als deze geheel of ten dele aan afnemer in rekening zijn of worden gebracht, blijven eigendom van Bunzl. De kosten van ontwerpen, clichés e.d., gemaakt ten behoeve van een door afnemer gevraagde offerte kunnen door Bunzl aan afnemer in rekening worden gebracht.

Artikel 5: Eigendomsvoorbehoud

5.1 De door Bunzl aan afnemer geleverde artikelen blijven eigendom van Bunzl zolang afnemer de verschuldigde prijs, ren-te en kosten terzake van alle geleverde artikelen niet heeft betaald. Onder kosten wordt mede verstaan de vorderingen die Bunzl op afnemer heeft wegens tekortschieten in de nakoming van andere met afnemer gesloten overeenkomsten terzake van geleverde artikelen. Afnemer dient de door Bunzl geleverde artikelen, zolang deze eigendom zijn van Bunzl, apart en duidelijk herkenbaar op te slaan.

5.2 « Afnemer is bevoegd om binnen het kader van een normale bedrijfsvoering over de door Bunzl geleverde zaken te beschikken en deze te vervreemden. Op verlangen van Bunzl is afnemer gehouden in geval van zodanige beschikking of vervreemding op de vorderingen die hij hieruit op derden verkrijgt een stil pandrecht te vestigen ten behoeve van Bunzl.

5.3 Indien afnemer tekortschiet in de nakoming van zijn verplichtingen uit de met Bunzl gesloten overeenkomst(en) of indien Bunzl goede gronden heeft te vrezen dat afnemer daarin tekort zal schieten, is Bunzl bevoegd de aan afnemer geleverdeartikelenterugtenemen.Metname–dochnietuitsluitend–bestaatditrechtindienonderafnemerbeslagwordt gelegd, indien afnemer surséance van betaling is verleend of indien het faillissement van afnemer is aangevraagd of uitgesproken.

5.4 Afnemer is jegens Bunzl aansprakelijk voor alle schade die ontstaat aan de artikelen voor de in 5.1 bedoelde eigen-domsovergang.

Artikel 6: Klachten

6.1 Afnemer dient de bij hem bezorgde artikelen te keuren, Uiterlijk binnen 5 werkdagen na ontvangst van de artikelen dienen klachten met betrekking tot de geleverde artikelen schriftelijk aan Bunzl te worden gemeld. Indien afnemer bin-nen de bovengenoemde termijn niet schriftelijk tegen de geleverde artikelen heeft geprotesteerd, geldt dat Bunzl de overeenkomst jegens afnemer deugdelijk is nagekomen.

6.2 Nadat de klachten overeenkomstig 6.1 Bunzl hebben bereikt, zal Bunzl zo spoedig mogelijk een onderzoek instellen naar de gegrondheid van de klacht. Afnemer dient toe te staan, dat vertegenwoordigers van Bunzl de betreffende arti-kelen onderzoeken. Naar aanleiding van dit onderzoek beslist Bunzl of de klacht gegrond is. Indien de klacht gegrond is, heeft Bunzl de keuze de artikelen te vervangen dan wel afnemer te crediteren voor een bedrag gelijk aan de door afnemer verschuldigde prijs voor de betreffende artikelen. Indien Bunzl en afnemer geen overeenstemming bereiken omtrent de gegrondheid van de klacht zal de beslissing daaromtrent worden overgelaten aan een door partijen in gezamenlijk overleg te benoemen deskundige. Bij klachten betreffende per verpakking geleverde artikelen geldt dat Bunzl niet verplicht kan worden de door afnemer verschuldigde prijs voor de per verpakking geleverde artikelen te cre-diteren indien het geheel of een gedeelte van de per verpakking geleverde artikelen door afnemer is aangewend voor gebruik. De beslissing van de deskundige is bindend. De kosten van dit deskundigenonderzoek komen voor rekening van de partij die door de deskundige in het ongelijk wordt gesteld. Bunzl zal afnemer schriftelijk berichten, dat zij van dit deskundigenonderzoek gebruik wenst te maken. Afnemer heeft vervolgens gedurende een termijn van een maand het recht om zicht niettemin tot de volgens deze voorwaarden bevoegde rechter te wenden terzake van dit geschil.

Algemene verkoop-, leverings- en betalingsvoorwaarden

6.3 Retourzendingen van de geleverde artikelen is uitsluitend toegestaan indien hiervoor uitdrukkelijk toestemming is ver-kregen van een daartoe bevoegde medewerker van Bunzl.

Artikel 7: Toleranties

7.1 Voor de door Bunzl geleverde artikelen zijn ten aanzien van de overeengekomen specificaties de hierna te noemen afwijkingen zowel naar boven als naar beneden, toelaatbaar. Ter beoordeling zal het gemiddelde van het totaal in een soort, kwaliteit, kleur en uitvoering geleverde kwantum als maatstaf gelden. Voor andere dan hierna genoemde specificaties, zijn de bij de eerdere leveringen toegestane afwijking en bij gebreke daarvan de gebruikelijke afwijkingen toelaatbaar.

7.2 Onverminderd het in dit artikel-lid gestelde geldt ten aanzien van eventuele afwijkingen in de kleur dat Bunzl behoorlijk heeft gepresteerd, indien deze afwijkingen gering zijn. Bunzl aanvaardt geen aansprakelijkheid voor het door afnemer opgeven van onjuiste kleurennummers, indien het een opdracht betreft, waarbij een kleur moet worden aangemaakt, die niet voorkomt in het PMS-kleurensysteem of een ander kleurherkenningssysteem, dient afnemer de door hem gewenste kleur zo nauwkeurig mogelijk te omschrijven. Bunzl zal in een dergelijk geval de door afnemer gewenste kleur zoveel mogelijk benaderen. Op papier of kunststof aangeleverde kleuren kunnen, als deze op een ander materiaal wor-den aangebracht een ander kleurbeeld geven waardoor de indruk kan worden gewekt dat de kleur wordt vastgesteld dat de op het andere materiaal aangebrachte kleur gelijk is aan het door afnemer aan Bunzl overhandigde monster, dan wel het door afnemer kenbaar gemaakt kleurennummer.

7.3 Ten aanzien van de hoeveelheid geldt, dat Bunzl behoorlijk heeft gepresteerd, indien afwijkingen in hoeveelheden niet meer bedragen dan 20% boven of beneden de overeengekomen hoeveelheid. Facturering vindt plaats op basis van de werkelijk geleverde hoeveelheid.

7.4 Ten aanzien van de gramgewichten, dikte, formaten e.d. geldt, dat Bunzl behoorlijk heeft gepresteerd indien afwijkin-gen in bovengenoemde specificaties niet meer bedragen dan respectievelijk 10%, 20% en 5% ten opzichte van de overeengekomen specificatie.

Artikel 8: Garantie

8.1 Voor artikelen of onderdelen van artikelen, die Bunzl niet zelf vervaardigt, verleent Bunzl slechts garantie. Indien en voorzover de toeleverancier van Bunzl aan Bunzl garantie heeft verstrekt. Op verzoek van afnemer kan Bunzl afnemer op de hoogte stellen van de garantiebepalingen van de toeleveranciers van Bunzl.

8.2 Bunzl’s aansprakelijkheid uit hoofde van de garantie is beperkt tot het vervangen van de ondeugdelijke artikelen, dan wel terugbetaling van het voor deze ondeugdelijke artikelen gefactureerde bedrag, een en ander steeds ter keuze van Bunzl.

8.3 Buiten de garantie vallen in ieder geval die gebreken, die geheel of gedeeltelijk het gevolg zijn van:a. de niet inachtneming van bedienings- en onderhoudsvoorschriften, dan wel ander dan het voorziene normale gebruik.b. normale slijtage;c. toepassing van enig overheidsvoorschrift terzake van de aard van kwaliteit van de toegepaste materialen;d. materialen of zaken die door afnemer aan Bunzl ter bewerking zijn verstrekt;e. materialen, zaken, werkwijzen en constructies voorzover op uitdrukkelijke instructie van afnemer toegepast;f. door Bunzl van derden betrokken artikelen, voorzover de derden geen garantie aan Bunzl hebben verstrekt;g. onvakkundig gebruik of gebruik voor enig ander doel dat gebruikelijk is.

8.4 Indien afnemer tekort komt in de nakoming van zijn verplichtingen uit de met Bunzl gesloten overeenkomsten, is Bunzl met betrekking tot deze overeenkomst niet tot enige garantie gehouden.

8.5 Het beweerdelijk niet nakomen door Bunzl van haar garantieverplichtingen ontslaat afnemer niet van zijn verplichtingen voortvloeiende uit zijn overeenkomst met Bunzl.

Artikel 9: Aansprakelijkheid

9.1 De aansprakelijkheid van Bunzl is beperkt tot nakoming van de in artikel 8 omschreven garantieverplichtingen, behou-dens opzet of grove schuld aan de zijde van Bunzl.

9.2 Bunzl is in geen geval verder aansprakelijk dan tot vergoeding van de factuurwaarde van de artikelen, ten gevolge waarvan afnemer schade heeft geleden.

9.3 In geval van schade, veroorzaakt door een gebrek in het geleverde artikel, zal Bunzl op verzoek van afnemer binnen een redelijke termijn de identiteit van de producent van het artikel of van degene, die het artikel heeft geleverd, mede-delen aan afnemer.

9.4 Bunzl is niet aansprakelijk, indien artikelen niet geschikt blijken voor het doel, waarvoor afnemer deze heeft gekocht. Afnemer dient zich derhalve omtrent de geschiktheid van artikelen voor het doel dat hij daarmee beoogt te voren op de hoogte te stellen.

9.5 Afnemer vrijwaart Bunzl voor aanspraken van derden op vergoeding van schade jegens afnemer op grond van aan-

sprakelijkheid uit welke hoofde ook.

Artikel 10: Opschorting/Ontbinding

10.1 Bunzl heeft, indien afnemer tekortschiet of indien Bunzl redelijkerwijs mag verwachten, dat afnemer zal tekortschieten in de nakoming van enige tussen Bunzl en afnemer gesloten overeenkomst, het recht:

a. van afnemer voor alle lopende en nog te sluiten overeenkomsten betaling vooraf, dan wel onmiddellijke betaling bij levering, dan wel behoorlijke zekerheidsstelling voor betaling te vorderen;

b. haar verplichtingen uit overeenkomsten met afnemer (tevens zijnde de aanmaak en/of verwerking van de voor levering bestemde artikelen) op te schorten;

c. zonder rechterlijke tussenkomst de betreffende koopovereenkomst met onmiddellijke ingang te ontbinden.

10.2 Indien afnemer tekortschiet in de nakoming van de overeenkomst kan Bunzl aanspraak maken op schadevergoeding waaronder begrepen gederfde winst.

Artikel 11: Overmacht

11.1 Onder overmacht wordt in deze voorwaarden verstaan elke van de wil van Bunzl onafhankelijke, al dan niet voorzien-bare omstandigheid, die nakoming van de overeenkomst blijvend of tijdelijk verhindert, alsmede, voorzover daaronder niet reeds begrepen oorlog, oorlogsgevaar, burgeroorlog, oproer, werkstaking, bezetting, boycot, blokkade, sabotage, brand, blikseminslag, extreme weersomstandigheden, maatregelen van de binnen- of buitenlandse overheid, trans-portmoeilijkheden en andere ernstige storingen in het bedrijf van Bunzl, alsmede de onmogelijkheid van nakoming van de overeenkomst als gevolg van tekortkomingen van de door Bunzl ter uitvoering van de overeenkomst ingeschakelde personen en/of zaken.

11.2 In geval van verhindering tot uitvoering van de overeenkomst ten gevolge van overmacht is Bunzl gerechtigd om zonder rechterlijke tussenkomst hetzij de uitvoering van de overeenkomst voor ten hoogste zes maanden op te schorten, hetzij de overeenkomst geheel of ten dele te ontbinden, zonder dat zij tot enige schadevergoeding gehouden zal zijn.

Artikel 12: Diversen

12.1 Bunzl behoudt zich alle rechten voor, waaronder die van intellectuele en industriële eigendom, met betrekking tot ge-leverde artikelen en verstrekte gegevens, tekeningen, afbeeldingen, productsamenstellingen e.d. alsmede alle andere in het kader van de overeenkomst aan afnemer verstrekte informatie.

12.2 Behoudens voorafgaande uitdrukkelijke en schriftelijke toestemming van Bunzl is het afnemer verboden de in 12.1 bedoelde artikelen en bescheiden te verveelvoudigen, aan derden te inzage te geven of ter beschikking te stellen.

12.3 Indien afnemer een overeenkomst annuleert en het betreft artikelen uit het standaardassortiment van Bunzl, is afnemer 15% van het met de overeenkomst gemoeide netto-factuurbedrag annuleringskosten verschuldigd.

12.4 Annulering van overeenkomsten strekkende tot levering van niet tot het standaard-assortiment van Bunzl behorende artikelen (inclusief de naamsbedrukte artikelen) is uitsluitend mogelijk tegen betaling van het volledige factuurbedrag aan Bunzl.

12.5 Behoudens tegenbewijs door afnemer, worden per fax aan afnemer verzonden mededelingen van Bunzl geacht te zijn aangekomen bij afnemer op zodanig moment als blijkt uit de door een faxapparaat van Bunzl geproduceerde fax-verzendbevestigingen.

12.6 Behoudens tegenbewijs door afnemer, gelden dossierkopieën van schriftelijke mededelingen van Bunzl aan afnemer als bewijs, dat deze mededelingen door Bunzl aan afnemer zijn verzonden.

Artikel 13: Toepasselijk recht / Geschillen

13.1 Deze Algemene Verkoopvoorwaarden en alle overeenkomsten, waarop deze voorwaarden van toepassing zijn, zijn onderworpen aan Nederlands recht.

13.2 In alle geschillen voortvloeiende uit overeenkomsten tussen afnemer en Bunzl worden exclusief voorgelegd aan de competente rechter in het Arrondissement Amsterdam

Of Bunzl Outsourcing Services BV (“Bunzl”), with its registered office at Almere, registered with the Chamber of Commerce at Lelystad under number 33054904. The General Terms and Conditions are registered with the Chamber of Commerce at Lelystad.

Article 1: Applicable Conditions

1.1. These General Terms and Conditions (“Conditions”) apply to all agreements between Bunzl and all other parties (the “Buyer”), the execution of those agreements and all offers issued by Bunzl.

1.2. Deviations from these Conditions will exclusively be valid where this has been agreed upon in writing between Bunzl and the Buyer.

1.3. The applicability of the General Terms and Conditions of the Buyer are hereby emphatically rejected.

Article 2: Offer/Agreement

2.1. All offers issued by Bunzl are free of further obligation.

2.2. Bunzl will exclusively be bound to an agreement where Bunzl has accepted an order, or where Bunzl has notified the Buyer that it has initiated the execution of the order.

2.3. All information issued by Bunzl in the prospectus, price lists and other printed matter, such as images, colour combinations, sizes, weights, etc. apply strictly as approximations, except where Bunzl has specifically stated that they can be deemed as exact representations.

Article 3: Prices/Payment

3.1. All prices handled by Bunzl are exclusive of VAT, unless otherwise specified.

3.2. All prices handled by Bunzl are based on cost price factors applicable on the date of the offer.

3.3. Where any of the factors determining the cost price (for example, but not exclusively, purchase prices, wage costs, taxes, import and export duties or foreign currency exchange rates) of any particular article should change in the period between the date of the offer and the delivery date, Bunzl will be entitled to adjust the agreed price accordingly.

3.4. Unless explicitly otherwise agreed, all payments must be fulfilled within thirty calendar days of the invoice date.

3.5. Unless otherwise agreed, payment will be deemed to have been fulfilled where Bunzl’s bank or giro account has been credited or where Bunzl has been paid in cash on the receipt date.

3.6. The Buyer will be deemed in default, without the need for notice of default or summons to that effect, at such time as the period intended in 3.4., above, has been exceeded.

3.7. In the case of default, the Buyer will be liable to pay an interest of 2.0% per month or part of the month over the full invoice amount starting on the invoice expiry date. The Buyer will also be liable to pay all extra judicial collection costs in accordance with the rates of the Nederlandse Orde van Advocaten (Dutch Bar Association) with a minimum amount of € 113. The Buyer will moreover be liable to pay Bunzl all legal and related costs for legal council, including amounts incurred by Bunzl in the course of the execution of the agreement and not awarded by the court, unless Bunzl, as the losing party, is ordered by the court to pay all costs.

3.8. Where Bunzl places the Buyer in default or issues summons against the Buyer, the Buyer will still be deemed in default following the violation of the period intended in 3.4.

3.9. Payments fulfilled by the Buyer will, in the first place, be applied towards the fulfilment of all due costs, subsequently all due interests and subsequently claimable invoices that have been open longest, even where the Buyer specifies that the payment concerns a subsequent invoice.

3.9. Open invoice amounts may exclusively be balanced against claims against Bunzl where the claims are effectively claimable and/or where this has been established irrevocably by the law and/or where Bunzl has explicitly acknowledged this.

Article 4: Delivery

4.1. The delivery period applicable to all goods (“articles”) will start on the first day of validity of the agreement or, in as far as the following occurs later, on the day on which an agreed down payment has been fulfilled and the Buyer has provided all relevant information for the execution of the agreement.

4.2. The delivery periods specified by Bunzl may under no circumstances be deemed as deadlines, except where this has been agreed upon explicitly and in writing. The Buyer will not be entitled to dissolve the agreement in the case of the applicable periods having been exceeded.

4.3 In the case of late delivery, the Buyer will be bound to issue Bunzl a written notice of default, whereby the Buyer will grant Bunzl a minimum period of fourteen days to, as yet, fulfil its delivery obligations, except where it would be reasonable and fair under the circumstances to grant a longer period.

4.4 All risks related to the articles will transfer to the Buyer at the time of delivery of the articles at the agreed delivery location, except where explicitly otherwise agreed upon.

4.5 Bunzl will be entitled to deliver all orders in the form of part deliveries. Each part delivery will be deemed as a separate delivery and treated with all the applicable legal consequences.

4.6 The Buyer will pay Bunzl a contribution, to be determined by Bunzl, to the shipping costs, where the transaction between the Buyer and Bunzl concerns an invoice amount of less than € 227, excluding VAT. Bunzl reserves the right to charge the Buyer the shipping costs if the delivery of the articles takes place outside Bunzl’s normal delivery days (“route days”); in the latter instance Bunzl will charge the incurred shipping costs directly to the Buyer.

4.7 Bunzl will keep stocks of articles on call where so required by the Buyer. Bunzl will send the Buyer a routine stock preparation notice with specification of the article, the quantity, the price and the delivery period with respect to the preparation of all new stocks of articles that are kept in stock for the Buyer for any reason whatsoever. Failure on the part of the Buyer to protest the stock preparation in writing, as specified in the stock preparation notice, within five work days of receipt thereof, will irrevocably and unconditionally bind the Buyer to purchasing the said articles within the period specified in the said preparation notice.

4.8 All designs, clichés etc., whether created by Bunzl on the Buyer’s instructions or not and whether fully or partially charged to the Buyer, will remain the sole property of Bunzl. Bunzl will be entitled to charge the Buyer for the cost of all designs, clichés etc., incurred by Bunzl for the preparation of an offer submitted by the Buyer.

Article 5: Transfer of property

5.1 All articles supplied by Bunzl to the Buyer will remain the property of Bunzl until such time as the Buyer has fulfilled the full amount of the due price, interests and costs due for all delivered articles. ‘Costs’ are to be understood to include all claims by Bunzl against the Buyer with respect to shortcomings in the fulfilment of other agreements between Bunzl and the Buyer applicable to the delivered articles. The Buyer will be bound to store all articles supplied by Bunzl separately and clearly marked to that effect for the full duration of the period during which they remain the property of Bunzl.

5.2 The Buyer will be entitled, within the normal framework of its business operations, to have disposal of and to alienate all goods delivered by Bunzl. The Buyer will, at Bunzl’s request to that effect, be bound in the case of the aforementioned disposal or alienation, to place a lien on Bunzl’s behalf on third-party claims arising from the aforementioned disposal or alienation.

5.3 Where the Buyer is in default with respect to the fulfilment of its obligations arising from the agreement(s) with Bunzl or where Bunzl has reasonable grounds to suspect that the Buyer will become in default, Bunzl will be entitled to reclaim the articles from the Buyer. The latter right will specifically, but not exclusively, apply where the Buyer’s property is seized, the Buyer has applied for suspension of payment or the Buyer has applied for bankruptcy or has been declared bankrupt.

5.4 The Buyer will be liable for any damage to the articles prior to the transfer of property intended in 5.1 above.

Article 6: Complaints

6.1 The Buyer will inspect all articles delivered to its premises. Where applicable the Buyer will submit written complaints about the articles to Bunzl within a maximum period of five work days of the receipt of the said articles. Where the Buyer fails to submit the said written complaints about the delivered goods within the above-mentioned period, Bunzl will be deemed to have properly fulfilled its obligations towards the Buyer.

6.2 Upon receipt by Bunzl of the complaints intended under 6.1 above, Bunzl will, as soon as possible, conduct an investigation into the validity of the Buyer’s complaint. The Buyer will allow Bunzl’s representatives to examine the applicable articles. Bunzl will determine the validity of the complaint based on the outcome of the aforementioned examination. If the complaint is deemed valid, Bunzl will have the choice of replacing the articles or of crediting the Buyer to the amount of the applicable articles. Where Bunzl and the Buyer fail to reach agreement with respect to the validity of the complaint, a decision will be made to that effect by an expert to be determined in mutual consultation between the parties. In the case of complaints about articles delivered by package, Bunzl cannot be bound to provide credit for the price due on the part of the Buyer for the articles delivered by package where the Buyer has used the entire batch or part of the articles delivered by package. The decision of the expert will be binding. The cost of the expert will be for the account of the party found by the expert to be in the wrong. Bunzl will notify the Buyer in writing of the fact that it wishes to make use of the expert examination. The Buyer will subsequently be entitled, for a period of one calendar month, to turn to the competent court, as stipulated elsewhere in these Conditions, to resolve the dispute.

6.3 The Buyer will exclusively be entitled to return delivered articles where this has been explicitly agreed upon by Bunzl’s authorized official.

Article 7: Tolerances

7.1 The following upward and downward deviations from the agreed specifications will be permissible with respect to all articles delivered by Bunzl. The average of the total will serve as the measure of determination of type, quality, colour and design. All deviations from specifications other than those intended below will be permissible where they fall within the boundaries of previously permitted deviations and, in the absence thereof, where they fall within the boundaries of the normal deviations.

7.2 Without prejudice to that which is stipulated in this paragraph of the present article, Bunzl will be deemed to have performed properly in the case of deviations in the colours of delivered articles where the said deviations are minimal. Bunzl does not accept liability for incorrect colour numbers specified by the Buyer in the case of assignments where the colours are to be prepared and where the colours do not correspond to PMS colour systems or alternative colour recognition systems. In the latter instance the Buyer is bound to describe the applicable colour as precisely as possible. In the latter instance Bunzl will approximate the described colour as closely as possible. Colours provided on paper or plastics could, if applied to other materials, provide different colour impressions, whereby the impression could be created that the colour applied to the other material is equivalent to the sample that the Buyer provided to Bunzl or to the colour number specified by the Buyer.

7.3 With respect to the quantity, Bunzl will be deemed to have performed properly where deviations in the quantities fail to exceed 20% above or below the agreed quantities. Invoicing will be done on the basis of the actual quantities supplied.

7.4 With respect to the weights in grams, thicknesses, formats, etc., Bunzl will be deemed to have performed properly where deviations in the aforementioned specifications fail to exceed respectively 10%, 20% and 5% in relation to the agreed specifications.

Article 8: Guarantees

8.1 Bunzl exclusively offers guarantees for articles or components of articles not produced by Bunzl where and in as far as Bunzl’s own supplier has provided Bunzl with a guarantee. Bunzl will, upon request thereto by the Buyer, provide the Buyer with the applicable guarantee conditions provided by Bunzl’s own suppliers.

8.2 Bunzl’s liability pursuant to the guarantee will be limited to the replacement of the inadequate articles, or repayment of all amounts invoiced and charged for the inadequate articles, all to be determined at Bunzl’s sole discretion.

8.3 The guarantee does not cover defects that are entirely or partially due to: a. failure to observe operational or maintenance prescriptions, as well as any use other than the normal prescribed

use. b. normal wear and tear; c. application of any government prescriptions with respect to the quality of the applied materials; d. materials or goods submitted by the Buyer for processing by Bunzl; e. materials, goods, work methods and constructions in as far as used based on the Buyer’s explicit instructions; f. third-party articles obtained by Bunzl, in as far as the applicable third parties do not provide Bunzl with a guarantee; g. unprofessional use or use for any purpose other than the normal intended purpose.

8.4 Where the Buyer is in default with respect to the fulfilment of its obligations pursuant to its agreements with Bunzl, Bunzl will not be bound to provide any guarantees with respect to this agreement.

8.5 Purported failure by Bunzl to fulfil its guarantee obligations will under no circumstances release the Buyer from its obligations pursuant to its agreement with Bunzl.

Article9:Liability

9.1 Bunzl’s liability will be limited to the fulfilment of the guarantee obligations intended in Article 8, with the exception of intent or gross negligence on the part of Bunzl.

9.2 Bunzl will under no circumstances be liable for further claims over and above compensation of the invoice value of the articles on which the Buyer incurred the applicable losses.

9.3 In the case of loss or damage due to defects in the delivered articles, Bunzl will, upon the Buyer’s request to that effect, notify the Buyer within a reasonable period of time of the identity of the manufacturer of the article(s) or the person(s) who supplied the article(s).

9.4 Bunzl will not be liable where the articles are subsequently declared unfit for use for the purpose for which the Buyer purchased the said articles. The Buyer is therefore bound to take notice of the intended use and suitability of the articles for the intended purpose.

9.5 The Buyer indemnifies Bunzl against third-party claims for compensation against the Buyer due to liability on any grounds whatsoever.

Article 10: Suspension/Dissolution

10.1 In the case of the Buyer being in default or where Bunzl may reasonably suspect that the Buyer may come into default with respect to the fulfilment of any of the agreements between Bunzl and the Buyer, Bunzl will be entitled to:a. claim advance payment or immediate payment upon delivery from the Buyer for all running and/or future agreements, alternatively demand proper surety with respect to the due payments;b. suspend its obligations pursuant to agreements with the Buyer (including the preparation and/or processing of articles intended for delivery);c. dissolve the applicable sales agreement with immediate effect and without the need for judicial intervention.

10.2 Where the Buyer is in default with respect to the fulfilment of its obligations pursuant to the agreement, Bunzl will be entitled to claim damages, including loss of profit.

Article 11: Force Majeure

11.1 Force Majeure in these Conditions will be understood as any foreseen or unforeseen circumstances occurring independent of the will of Bunzl that might obstruct the fulfilment of the agreement either permanently or temporarily, including in as far as this is not as yet included thereunder: war, threat of war, civil war, civil unrest, strikes, occupation, boycotts, picketing, blockades, sabotage, fire, lighting, extreme weather conditions, measures imposed by the national or a foreign government, transport problems and any other serious failures in Bunzl’s company operations, as well as the obstruction of the fulfilment of the agreement due to shortcomings on the part of persons and/or companies engaged by Bunzl towards the fulfilment of the agreement.

11.2 In the case of obstruction of the fulfilment of the agreement due to Force Majeure, Bunzl will be entitled to suspend the agreement for a maximum period of six months without the need for judicial intervention, alternatively to dissolve the agreement completely without being liable for any claims for compensation for loss or damage.

Article 12: Miscellaneous

12.1 Bunzl reserves all rights, including those pertaining to intellectual and industrial property, with respect to the delivered articles and provided data, drawings, images, product compositions, etc., as well as all information provided to the Buyer in the framework of the agreement.

12.2 The Buyer will not be authorized to multiply, hand over or provide insight to third parties in the articles intended under 12.1 above without the prior written permission of Bunzl.

12.3 Where the Buyer cancels an agreement for articles from Bunzl’s standard collection, the Buyer will be liable to fulfil 15% of the net invoice amount pertaining to the agreement in cancellation fees.

12.4 Where the Buyer cancels an agreement for articles not pertaining to Bunzl’s standard collection (including name print articles), the Buyer will be liable to fulfil the full invoice amount to Bunzl.

12.5 Unless the Buyer is able to prove the contrary, all fax notifications sent by Bunzl to the Buyer will be deemed received by the Buyer at the time indicated on the fax confirmation report on the fax machine used by Bunzl to send the said notification.

12.6 Unless the Buyer is able to prove the contrary, all dossier copies of written notifications from Bunzl to the Buyer will serve as proof of the fact that Bunzl had sent the said notifications to the Buyer.

Article 13: Applicable law / Disputes

13.1 These General Terms and Conditions of Sale and all agreements to which these Conditions apply are subject to the law of the Netherlands.

13.2 Any disputes arising from the agreements between the Buyer and Bunzl will exclusively be brought before the competent judge of the District Court of Amsterdam.
