    W E S T L A N D , BRITISH MARINE AND BRITISH AIRCRAFTAT an extr aord inar y general meeting of Westl and Aircraft,Ltd., held last week in London, the chairman (Sir ErnestPetter) invited the shareholders to approve a proposal forthe acquisit ion (at a price of 250,000) of British Marine Aircraft, Ltd., and to sanction the necessary increase in capital.Sir Ernest explained in detail how the acquisition of theHambl e works would allow expansion (impr acticable at Yeovil)in order to cope with large orders at present sub-contracted.The matter of manufacturing the Sikorsky flying boat wouldbe considered later, when the pressure of the defence programme was relieved.Captain P. D. Acland (managing director) said that at thelast moment a point had arisen on the contract which BritishMarine Aircraft ha d entered into with the British AircraftManufacturing Company under which the latter received amanagement fee of 5,000 per annum for a period still to runof abou t four year s. The majority of the directors did not feelthat they could advise shareholders to accept any part of that

    liabil ity. Certain negoti ations were still tak ing place. Hetherefore proposed as an amendment that the meeting be adjourned until Tuesday, March 30.The amendment was seconded by Mr. W. E. W. Petter(technical director).The chair man said th at the Briti sh Aircraft Manufacturi ngCompany had consented to the agreement being cancelled fora payment of 5,000, and he did not consider that it was inthe interests of the shareholders for the whole matter to beheld up because of the payme nt of such an amoun t. He was,therefore, against adjourning the meeting.After some discussion the amendment was put to the meeting and lost by nine votes to 19.The original resolution for the acquisition of British MarineAircraft was carried new. con.A further resolution increasing the capital to 750,000 bythe creation of a further 1,000,000 new shares of 5s. each wasalso carried nem. con.
